- Scope and Deliverables: The Graphic Designer shall deliver all work products in accordance with the specifications outlined in this Purchase Order. All final files shall be provided in industry-standard formats (AI, PSD, PDF, PNG, SVG) with full source files and editable layers.
- Timeline: The initial brand identity package shall be delivered within 30 calendar days from the date of this Purchase Order. Subsequent deliverables shall follow the project schedule agreed upon in the Statement of Work. The monthly retainer period commences upon completion of the initial project phase.
- Revisions: Each design deliverable includes up to three (3) rounds of revisions. Additional revisions beyond the included rounds shall be billed at LKR 8,000 per hour for the Graphic Designer's time.
- Payment Schedule: 40% advance payment upon acceptance of this Purchase Order, 30% upon delivery of the brand identity package, 20% upon completion of all marketing collateral, and 10% upon final acceptance of the monthly retainer period. All payments shall be made via bank transfer to the supplier's account in Sri Lanka Colombo.
- Intellectual Property: Upon full and final payment, all intellectual property rights to the original work created by the Graphic Designer shall transfer to the Buyer. The Graphic Designer retains the right to display the work in their professional portfolio unless otherwise agreed in writing.
- Confidentiality: The Graphic Designer shall treat all client information, brand assets, and project details as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes shall be resolved through arbitration in Sri Lanka Colombo in accordance with the Arbitration Act of Sri Lanka.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government regulations, or public health emergencies affecting operations in Sri Lanka Colombo.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work defined in this Purchase Order for the engagement of the Graphic Designer services in Sri Lanka Colombo. This document constitutes a binding agreement between the parties upon execution.
