5.1 This Purchase Order constitutes a binding agreement between Al-Nile Creative Solutions LLC and the named Graphic Designer upon signature by both parties. All work shall be performed in accordance with the scope defined in Section 4 of this Purchase Order.

5.2 The Graphic Designer shall deliver all final files to the receiving office in Sudan Khartoum no later than 28 June 2025. Late delivery beyond this date shall incur a penalty of 2% of the total Purchase Order value per business day of delay, capped at 15%.

5.3 Payment shall be made in two instalments: 50% (SDG 388,125) upon written approval of the brand identity package (Item 01), and the remaining 50% (SDG 388,125) upon final acceptance of all deliverables. Payment shall be processed via bank transfer to the account specified by the Graphic Designer.

5.4 All intellectual property rights in the final deliverables shall transfer to Al-Nile Creative Solutions LLC upon full payment. The Graphic Designer retains the right to display the work in a professional portfolio, subject to a 30-day embargo period following the public launch of the exhibition.

5.5 The Graphic Designer shall comply with all applicable laws and regulations of the Republic of the Sudan, including but not limited to the Sudanese Copyright Act and the National Advertising Standards. All designs must be culturally appropriate for the Sudan Khartoum audience and free from content that may be deemed offensive under local norms.

5.6 Any changes to the scope of work beyond what is stated in this Purchase Order must be approved in writing by the Authorized Officer before additional work commences. Change orders will be priced separately and appended to this Purchase Order as addenda.

5.7 This Purchase Order is governed by the laws of the Republic of the Sudan. Any disputes arising from this Purchase Order shall be resolved through the commercial courts of Khartoum, Sudan Khartoum.

NOTE: The Graphic Designer is required to conduct all in-person review meetings at the Al-Nile Creative Solutions LLC office in Sudan Khartoum. A minimum of three (3) in-person review sessions are scheduled: (1) Concept presentation – 18 June 2025; (2) Mid-project review – 24 June 2025; (3) Final approval – 28 June 2025. The Graphic Designer shall arrive at least 15 minutes prior to each scheduled session.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order. This Purchase Order is valid for a period of thirty (30) calendar days from the date of issue. Failure to execute within this period shall render this Purchase Order null and void.
