This Purchase Order is issued by Helvetia Brand Solutions AG to formally engage the services of a qualified Graphic Designer operating out of Switzerland Zurich for the purpose of delivering comprehensive visual identity, brand collateral, and digital design assets. The Graphic Designer shall perform all duties in accordance with the specifications outlined below and in full compliance with Swiss commercial law, the Swiss Code of Obligations (OR), and applicable cantonal regulations governing professional services in the canton of Zurich.

• Payment shall be made via bank transfer (SEPA) to the IBAN specified in Section 1 within 30 days of the invoice date, in accordance with standard commercial practice in Switzerland Zurich.
• A non-refundable deposit of 30% of the total Purchase Order value (CHF 22,409.13) is due upon acceptance of this Purchase Order to commence the Graphic Designer engagement.
• Remaining balance shall be invoiced in two equal instalments: 50% upon delivery of the brand identity package (Item 01) and 50% upon final acceptance of all deliverables.
• Late payments shall accrue interest at the statutory rate of 5% per annum as defined under Article 104 of the Swiss Code of Obligations.

1. Governing Law: This Purchase Order and all services rendered under it shall be governed by and construed in accordance with the laws of the Swiss Confederation, with the canton of Switzerland Zurich designated as the exclusive place of jurisdiction for any disputes arising hereunder.
2. Intellectual Property: Upon full and final payment, all copyrights, design rights, and intellectual property in the deliverables created by the Graphic Designer shall transfer irrevocably to Helvetia Brand Solutions AG. The Graphic Designer retains the right to display the work in a professional portfolio unless a written confidentiality agreement is executed.
3. Confidentiality: The Graphic Designer shall treat all client data, brand assets, and business information as strictly confidential in accordance with the Swiss Federal Act on Data Protection (revFADP / nDSG). This obligation survives termination of this Purchase Order for a period of three (3) years.
4. Revisions: Each project item includes the number of revision rounds specified in Section 3. Additional revisions beyond the agreed scope shall be billed at the Graphic Designer's standard hourly rate of CHF 145.00 per hour, subject to prior written approval via a change order to this Purchase Order.
5. Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the client shall pay for all work completed and materials procured up to the effective date of termination.
6. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Switzerland Zurich.
7. Compliance: The Graphic Designer warrants that all deliverables are original, do not infringe any third-party intellectual property rights, and comply with all applicable Swiss and EU design and advertising regulations.

By signing below, both parties acknowledge and agree to all terms, conditions, pricing, and deliverables set forth in this Purchase Order for the engagement of the Graphic Designer in Switzerland Zurich. This document constitutes a binding commercial agreement upon execution by both authorised signatories.
