- Acceptance: This Purchase Order constitutes a formal request for the provision of Graphic Designer services. The Graphic Designer shall confirm acceptance of this Purchase Order in writing within five (5) business days of receipt. Failure to respond within this period shall render this Purchase Order null and void.
- Delivery and Location: All deliverables shall be submitted electronically to the Purchasing Party's designated email address. Physical copies, where required, shall be delivered to the office of East African Creative Solutions Ltd. located in Tanzania Dar es Salaam. The Graphic Designer is expected to conduct all in-person meetings, presentations, and collaborative sessions at the Tanzania Dar es Salaam office or at a mutually agreed location within the city.
- Timeline: The Graphic Designer shall adhere to the project milestones outlined in the attached Statement of Work. The initial brand identity package shall be delivered within thirty (30) calendar days from the date of this Purchase Order. All remaining deliverables shall be completed within ninety (90) calendar days.
- Payment Schedule: Payment shall be made in three (3) installments: 40% upon acceptance of this Purchase Order, 40% upon delivery of the brand identity package and marketing collateral, and 20% upon final acceptance of all remaining deliverables. All payments shall be made via bank transfer to the account specified by the Graphic Designer.
- Revisions: The Graphic Designer shall include up to three (3) rounds of revisions per deliverable at no additional cost. Additional revisions beyond the agreed number shall be billed at a rate of TZS 50,000 per hour.
- Intellectual Property: Upon full and final payment, all intellectual property rights, copyrights, and ownership of the final design deliverables shall transfer exclusively to East African Creative Solutions Ltd. The Graphic Designer retains the right to display the work in a professional portfolio, subject to prior written consent from the Purchasing Party.
- Confidentiality: The Graphic Designer shall treat all company information, trade secrets, and proprietary data encountered during the engagement as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Graphic Designer shall be compensated for all work completed and accepted up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Republic of Tanzania. Any disputes arising from this Purchase Order shall be resolved through arbitration in Tanzania Dar es Salaam in accordance with the Arbitration Act, Cap. 20 of the Laws of Tanzania.
- Compliance: The Graphic Designer warrants that all work delivered shall be original, free from infringement of any third-party intellectual property rights, and compliant with all applicable regulations of the Tanzania Broadcasting Commission Authority (TBCA) and the Tanzania Copyright and Related Rights Act.
