3. Scope of Work & Itemized Services

This Purchase Order is issued by Siam Creative Ventures Co., Ltd. to Bangkok Pixel Studio Co., Ltd. for the engagement of a senior Graphic Designer to deliver comprehensive visual design services. All work shall be performed in accordance with the professional standards expected in the Thailand Bangkok creative industry, and all deliverables must comply with Thai advertising regulations and intellectual property laws.

4. Terms and Conditions

Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by the supplier. The supplier must confirm acceptance in writing within five (5) business days of the issue date. Failure to respond within this period shall render this Purchase Order null and void.
Payment: Payment shall be made within thirty (30) days of receipt of a valid tax invoice from Bangkok Pixel Studio Co., Ltd. Payment shall be processed via bank transfer to the supplier's designated account in Thailand Bangkok. The total amount due under this Purchase Order is Five Hundred Twenty-Four Thousand Five Hundred Fourteen Thai Baht (THB 524,514.00), inclusive of 7% Value Added Tax.
Deliverables & Quality: All design work produced by the Graphic Designer must meet the specifications outlined in Section 3. The client reserves the right to request up to three (3) rounds of revisions per deliverable at no additional cost. Revisions beyond the agreed number shall be billed at the hourly rate of THB 2,500 per hour.
Intellectual Property: Upon full payment, all final design files, source documents, and associated intellectual property rights shall transfer exclusively to Siam Creative Ventures Co., Ltd. The Graphic Designer and Bangkok Pixel Studio Co., Ltd. retain the right to display completed work in their professional portfolio, subject to a 90-day embargo period from the date of final delivery.
Confidentiality: The Graphic Designer and all personnel of Bangkok Pixel Studio Co., Ltd. shall treat all client data, brand assets, and project information as strictly confidential. This obligation survives the termination of this Purchase Order for a period of two (2) years.
Working Location: All in-person work, meetings, and pre-press reviews shall take place in Thailand Bangkok. The Graphic Designer is expected to work from the Bangkok Pixel Studio office at 214 Ratchadamri Road, Pathum Wan, Bangkok, or at the client's premises in Khlong Toei, Bangkok, as mutually agreed upon.
Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of early termination, the client shall pay for all services rendered and approved deliverables up to the date of termination.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from this agreement shall be resolved through the courts of competent jurisdiction in Thailand Bangkok.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Thailand Bangkok metropolitan area.
