- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorized representatives. All services described herein shall be performed by the designated Graphic Designer or, in the event of temporary unavailability, by a substitute of equivalent seniority approved in writing by the Buyer.
- All work shall be carried out in compliance with the intellectual property laws of the Republic of Turkey. Upon full payment, all copyrights, trademarks, and design rights associated with the deliverables shall be irrevocably transferred to the Buyer. The Graphic Designer warrants that all work is original and does not infringe upon any third-party rights.
- The project timeline is anchored to the Turkey Istanbul business calendar. Any delays attributable to public holidays observed in Istanbul (including but not limited to National Sovereignty and Children's Day, Labour Day, and the 15 July Democracy and Freedom Day) shall extend the delivery schedule proportionally.
- Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon approval of the brand identity package, and 30% upon final delivery and acceptance of all remaining deliverables. Payments shall be processed via bank transfer to the Supplier's account in Istanbul.
- The Graphic Designer shall attend all scheduled on-site meetings at the Buyer's office in Levent, Istanbul, and shall provide weekly progress reports via email every Friday by 17:00 local time.
- Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of early termination, the Buyer shall compensate the Supplier for all work completed and materials procured up to the termination date.
- All disputes arising from this Purchase Order shall be resolved under the jurisdiction of the commercial courts of Istanbul, Turkey. The governing law shall be the laws of the Republic of Turkey.
- The Supplier shall maintain professional liability insurance with a minimum coverage of TRY 500,000 for the duration of the engagement in Turkey Istanbul.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Graphic Designer services in Turkey Istanbul.
