This Purchase Order is issued by East African Creative Solutions Ltd. to formally engage the services of a qualified Graphic Designer based in Uganda Kampala for the design and production of comprehensive visual branding materials. The Graphic Designer shall deliver all work in accordance with the specifications outlined below, adhering to the creative brief provided by the procurement team. - Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by the Graphic Designer or their authorized representative. The Graphic Designer must sign and return a copy of this document within five (5) business days of receipt.
- Delivery Schedule: All initial design concepts must be presented within fourteen (14) calendar days of the Purchase Order effective date. Final deliverables for each line item are due within thirty (30) calendar days. The annual retainer services shall commence on 1 August 2025.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice. A 50% advance payment is required upon acceptance of this Purchase Order. The remaining balance is due upon final delivery and written approval of all Graphic Designer deliverables. All payments shall be made in Ugandan Shillings (UGX) via bank transfer to the account specified above.
- Revisions: The Graphic Designer shall include up to three (3) rounds of revisions per line item at no additional cost. Additional revision cycles beyond the included number shall be billed at UGX 150,000 per hour.
- Intellectual Property: Upon full payment, all final design assets, source files, and intellectual property rights created by the Graphic Designer under this Purchase Order shall transfer exclusively to East African Creative Solutions Ltd. The Graphic Designer retains the right to display completed work in their professional portfolio.
- Location of Work: All in-person meetings, presentations, and handovers shall take place at the client's office on Kampala Road, Uganda Kampala, or at the Graphic Designer's studio in Nakasero, Kampala, as mutually agreed. Remote collaboration via video conference is permitted for interim reviews.
- Compliance: The Graphic Designer shall comply with all applicable laws of the Republic of Uganda, including the Uganda Copyright and Performance Rights Act, 2006, and the Uganda Revenue Authority tax regulations. All work must be original and free from third-party intellectual property infringement.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of early termination, the client shall pay for all services rendered and materials procured up to the termination date.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to mediation under the Uganda Arbitration and Conciliation Act, 2000, with proceedings held in Uganda Kampala.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Uganda.
