4.1 Payment shall be made in United Arab Emirates Dirhams (AED) via bank transfer to the account designated by PixelCraft Design Studio FZ-LLC, domiciled in Dubai, United Arab Emirates.

4.2 A 30% advance payment (AED 89,491.50) is due within seven (7) business days of acceptance of this Purchase Order.

4.3 The remaining 70% balance (AED 208,813.50) shall be paid in three equal monthly installments of AED 69,604.50, due on the 5th of each month following the month in which the corresponding deliverables are accepted.

4.4 All payments are subject to the receipt of a valid tax invoice issued in accordance with the Federal Tax Authority regulations of the United Arab Emirates.

4.5 Late payments shall attract a penalty of 1.5% per month on the outstanding balance, in compliance with UAE commercial law.

5.1 Brand Identity Package: Final delivery within 30 calendar days from the date of Purchase Order acceptance.

5.2 Marketing Collateral: Delivery within 45 calendar days, subject to two (2) rounds of revisions per layout.

5.3 Digital Campaign Assets: Phased delivery over 60 calendar days, aligned with the Q3 2025 campaign calendar in Dubai.

5.4 Large-Format Print Designs: Delivery within 21 calendar days, including compliance review with Dubai Municipality.

5.5 Annual Retainer: Ongoing service with a maximum response time of 48 hours for ad-hoc requests.

6.1 This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Federal Commercial Transactions Law and applicable Dubai free zone regulations.

6.2 The Graphic Designer shall maintain full confidentiality regarding all proprietary information, brand assets, and strategic plans disclosed during the course of this engagement. A separate Non-Disclosure Agreement (NDA) is attached as Annexure A.

6.3 Upon full payment, all intellectual property rights in the final deliverables shall vest exclusively in Al Noor Creative Solutions LLC. The Graphic Designer retains the right to display the work in a professional portfolio, subject to prior written approval.

6.4 The Graphic Designer warrants that all deliverables are original works, do not infringe upon any third-party intellectual property rights, and comply with all applicable UAE advertising and content regulations.

6.5 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all services rendered and approved up to the date of termination.

6.6 Any disputes arising from this Purchase Order shall be resolved through arbitration in Dubai, in accordance with the rules of the Dubai International Arbitration Centre (DIAC).

6.7 This Purchase Order is valid for acceptance within thirty (30) days from the date of issue. Failure to accept within this period shall render this document null and void.
