The Graphic Designer shall be responsible for the following scope of work as outlined in this Purchase Order:

All deliverables specified in this Purchase Order shall be submitted to the buyer's designated project manager at the United Kingdom Birmingham office no later than the dates stipulated in the attached project timeline (Appendix A). The Graphic Designer shall provide initial drafts within ten (10) business days of project commencement, with subsequent revisions to be delivered within five (5) business days of receiving written feedback. Final files shall be delivered in industry-standard formats (AI, EPS, PDF, PNG, JPG) and shall be stored on the buyer's secure cloud server. Acceptance of each deliverable shall be confirmed in writing by the buyer within seven (7) business days of submission. Failure to provide written rejection within this period shall constitute deemed acceptance under this Purchase Order.
5. Payment Terms and SchedulePayment for the services rendered under this Purchase Order shall be made in accordance with the following schedule:

All payments shall be made via BACS transfer to the supplier's designated bank account. Late payments shall attract interest at a rate of 4% above the Bank of England base rate, calculated on a daily basis, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 applicable in United Kingdom Birmingham and throughout the jurisdiction.
6. Terms and Conditions- Intellectual Property: Upon full and final payment, all intellectual property rights in the deliverables created by the Graphic Designer shall vest exclusively in Meridian Creative Solutions Ltd. The Graphic Designer retains the right to display completed work in their professional portfolio, subject to a 90-day embargo period from final delivery.
- Confidentiality: The Graphic Designer shall treat all client information, trade secrets, and project materials as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Revisions: Each deliverable includes the number of revision rounds specified in Section 3. Additional revisions beyond the agreed scope shall be billed at the Graphic Designer's standard hourly rate of £85.00 per hour, subject to prior written approval under this Purchase Order.
- Termination: Either party may terminate this Purchase Order by providing fourteen (14) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the date of termination, and the Graphic Designer shall deliver all work-in-progress files.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of United Kingdom Birmingham.
- Insurance: The Graphic Designer shall maintain professional indemnity insurance of no less than £2,000,000 for the duration of the engagement specified in this Purchase Order.
