This Purchase Order is issued by Northbridge Digital Solutions Ltd. to formally engage the services of a qualified Graphic Designer operating within the United Kingdom Manchester metropolitan area. The engagement is intended to support the buyer's rebranding initiative, marketing collateral production, and digital asset development for the fiscal year 2025/2026. The Graphic Designer shall be based at or near the Spinningfields creative district in Manchester, United Kingdom, and shall deliver all work in accordance with the specifications outlined in this document and the attached Statement of Work (SOW-2025-GRD-012).
The Graphic Designer is expected to possess a minimum of seven (7) years of professional experience in brand identity design, print production, and digital media. All deliverables must comply with the UK Copyright, Designs and Patents Act 1988, and the Graphic Designer warrants that all work produced shall be original and free from any third-party intellectual property claims.

The Graphic Designer shall adhere to the following delivery timeline, with all milestones subject to written approval by the buyer's Creative Director. All work shall be conducted in the United Kingdom Manchester time zone (GMT/BST), and the Graphic Designer shall provide weekly progress reports every Friday by 17:00.

- This Purchase Order is valid for acceptance within fourteen (14) calendar days from the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
- Payment shall be made via BACS bank transfer to the account details provided by the Graphic Designer upon acceptance of this Purchase Order. Payment terms are Net 30 days from the date of a valid tax invoice.
- A 10% deposit is required upon signing to commence work. The remaining balance shall be invoiced in monthly instalments aligned with the delivery milestones outlined in Section 4.
- All prices are quoted in British Pounds Sterling (GBP) and are inclusive of the Graphic Designer's professional fees. VAT at the current United Kingdom rate of 20% is applied as shown in Section 3.
- Late payments shall attract interest at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- The Graphic Designer shall provide a VAT-registered invoice for each payment period, referencing this Purchase Order number (PO-MAN-2025-04871).
- Governing Law: This Purchase Order and any disputes arising therefrom shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of Manchester, United Kingdom.
- Intellectual Property: Upon full and final payment, all intellectual property rights in the deliverables shall vest in Northbridge Digital Solutions Ltd. The Graphic Designer retains the right to display the work in a professional portfolio, subject to a 90-day embargo period from final delivery.
- Confidentiality: The Graphic Designer shall treat all client information, brand assets, and business strategies as strictly confidential. This obligation survives termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the date of termination.
- Insurance: The Graphic Designer shall maintain professional indemnity insurance of no less than £2,000,000 and public liability insurance of no less than £5,000,000 for the duration of this engagement in the United Kingdom.
- Compliance: The Graphic Designer confirms compliance with all applicable United Kingdom data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, in the handling of any personal data received during the course of this engagement.
- Revisions: Each project milestone includes up to three (3) rounds of revisions. Additional revisions beyond this limit shall be charged at the hourly rate specified in Section 3.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work set forth in this Purchase Order. This document constitutes a binding agreement for the provision of Graphic Designer services in the United Kingdom Manchester region.
