6.1 This Purchase Order constitutes a binding agreement between Bayou Creative Solutions LLC (Buyer) and Texan Visual Arts Studio, Inc. (Seller) for the provision of Graphic Designer services in the United States Houston metropolitan area. Both parties acknowledge that this Purchase Order supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.

6.2 The Graphic Designer assigned to this engagement shall maintain professional licensure and shall comply with all applicable United States federal, Texas state, and Houston municipal regulations governing creative services, intellectual property, and business operations.

6.3 All original artwork, source files, vector assets, and final deliverables produced by the Graphic Designer under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Seller retains the right to display completed work in a professional portfolio with prior written consent from the Buyer.

6.4 Payment shall be made via ACH transfer or certified check to the account designated by the Seller. Invoices shall be submitted monthly for the retainer portion and upon completion of each milestone for project-based line items. Late payments shall accrue interest at 1.5% per month as permitted under Texas Business & Commerce Code.

6.5 The Seller warrants that all Graphic Designer deliverables shall be original, free from infringement of any third-party intellectual property rights, and shall conform to the specifications outlined in the approved creative brief. The Seller shall indemnify and hold harmless the Buyer against any claims arising from copyright or trademark infringement in the delivered work.

6.6 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all Graphic Designer services rendered through the effective date of termination. The monthly retainer (Line Item 6) may be cancelled with fifteen (15) days written notice without penalty.

6.7 All work shall be performed primarily at the Buyer's United States Houston office or remotely at the Seller's Houston studio. Travel within the Houston metropolitan area is included in the stated prices. Travel outside the Houston area shall be billed at cost with prior written approval.

6.8 This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes arising hereunder shall be resolved through binding arbitration in Harris County, United States Houston, in accordance with the rules of the American Arbitration Association.

6.9 The Seller shall maintain professional liability insurance with a minimum coverage of $1,000,000 per occurrence for the duration of this Purchase Order and shall provide a certificate of insurance upon request.
