This Purchase Order is issued by Brightwave Digital Solutions, LLC (hereinafter referred to as the "Buyer") to Creative Canvas Design Studio, Inc. (hereinafter referred to as the "Seller") for the engagement of a qualified Graphic Designer to deliver comprehensive visual branding and marketing collateral services. This Purchase Order is governed by the commercial laws of the State of Florida and the federal regulations applicable within the United States Miami metropolitan area. All deliverables, communications, and contractual obligations under this Purchase Order shall be conducted in the English language and shall comply with all applicable federal, state, and local regulations in Miami, Florida, United States.

The Buyer hereby requests and the Seller hereby agrees to provide the services of a senior Graphic Designer specializing in brand identity, digital marketing assets, print production, and motion graphics. The Graphic Designer shall be based in or regularly operate out of the United States Miami area to ensure local market awareness, cultural sensitivity, and the ability to attend in-person creative briefings at the Buyer's Miami office. The Graphic Designer shall dedicate a minimum of thirty (30) hours per week to the projects outlined in this Purchase Order for a contract duration of six (6) months, commencing July 1, 2025, and concluding December 31, 2025, unless extended by mutual written agreement.

Payment for this Purchase Order shall be made via ACH bank transfer to the Seller's designated account in Miami, Florida, United States. The Buyer shall remit payment according to the following schedule: (a) 30% deposit due upon execution of this Purchase Order; (b) 40% due upon delivery and written acceptance of all major deliverables (Items 001 through 004); and (c) 30% final payment due within fifteen (15) business days of the contract conclusion date. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with Florida commercial code provisions applicable in the United States Miami jurisdiction. All invoices must reference this Purchase Order number (PO-MIA-2025-04872) for proper accounting reconciliation.

1. Intellectual Property: Upon full payment, all work product created by the Graphic Designer under this Purchase Order shall become the sole and exclusive property of the Buyer. The Graphic Designer retains the right to display completed work in their professional portfolio, subject to a 90-day embargo period and written approval from the Buyer.
2. Confidentiality: The Graphic Designer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and unreleased marketing strategies of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
3. Revisions: Each project deliverable includes up to three (3) rounds of revisions at no additional cost. Additional revision cycles beyond the included amount shall be billed at the Graphic Designer's standard hourly rate of $125.00 per hour.
4. Compliance: The Graphic Designer warrants that all deliverables shall be original, free of copyright infringement, and compliant with all applicable United States federal and Florida state intellectual property laws. The Graphic Designer shall indemnify the Buyer against any third-party claims arising from the use of non-original materials.
5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and materials procured up to the date of termination. The Graphic Designer shall deliver all work-in-progress files and source documents within five (5) business days of the termination notice.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes arising hereunder shall be resolved through binding arbitration in Miami-Dade County, Florida, in accordance with the rules of the American Arbitration Association.
7. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters affecting the Miami, United States area, pandemics, or government-mandated shutdowns.
8. Independent Contractor Status: The Graphic Designer is engaged as an independent contractor and not as an employee of the Buyer. The Graphic Designer is solely responsible for all applicable federal, state, and local taxes, including self-employment tax, Florida state obligations, and any local Miami municipal levies.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of a Graphic Designer in the United States Miami area.
