This Purchase Order is issued by Andes Digital Solutions C.A. to formally request and authorize the procurement of professional Graphic Designer services to be rendered in Venezuela Caracas. - Acceptance: This Purchase Order constitutes a binding request for the Graphic Designer services described herein. The Seller (Creativa Visual Studio C.A.) must confirm acceptance of this Purchase Order in writing within five (5) business days of receipt. Failure to confirm within this period shall be interpreted as a declination of the order.
- Performance Location: All on-site work, consultations, and in-person deliverable presentations shall take place at the Buyer's premises located in Venezuela Caracas, specifically at Av. Francisco de Miranda, Torre Empresarial, Piso 14, Chacao. Remote collaboration may be utilized for intermediate drafts and revisions.
- Deliverables and Revisions: The Graphic Designer shall provide a minimum of three (3) revision rounds for each major deliverable. Additional revisions beyond the agreed scope shall be billed at a rate of $75.00 USD per hour. All final files must be delivered in industry-standard formats (AI, PSD, PDF, PNG, SVG) with full source file ownership transferred to the Buyer upon final payment.
- Payment Schedule: Payment shall be structured as follows: 30% advance upon Purchase Order acceptance, 40% upon delivery of the brand identity package (Item 01), and 30% upon final delivery and acceptance of all remaining items. Invoices shall be issued in US Dollars and may be settled in Bolívares Fuertes at the BCV (Banco Central de Venezuela) official exchange rate on the date of payment.
- Intellectual Property: Upon full and final payment, all intellectual property rights, copyrights, and ownership of the Graphic Designer's work product shall be irrevocably transferred to the Buyer. The Graphic Designer retains the right to display the work in a professional portfolio, subject to a 90-day embargo period from the public launch date.
- Confidentiality: The Graphic Designer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and unreleased campaign materials encountered during the engagement in Venezuela Caracas. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of early termination, the Buyer shall compensate the Graphic Designer for all work completed and approved up to the termination date, plus a 10% administrative fee.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Bolivarian Republic of Venezuela, including the Venezuelan Commercial Code and applicable regulations of the Superintendencia Nacional para la Defensa de los Derechos Socioeconómicos (SUNDENT). Any disputes shall be resolved through arbitration in Venezuela Caracas.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or infrastructure failures affecting the Venezuela Caracas metropolitan area.
- Validity: This Purchase Order is valid for thirty (30) calendar days from the date of issue. If not accepted within this period, the Buyer reserves the right to reissue or cancel the order without obligation.
