This Purchase Order governs all terms, conditions, deliverables, and payment obligations associated with the engagement of the Graphic Designer for the duration of the specified project timeline.

1. Acceptance: This Purchase Order becomes binding upon written acceptance by the Graphic Designer or their authorized representative. The vendor shall return a signed copy of this Purchase Order within five (5) business days of receipt.
2. Performance Location: All design work, client meetings, and on-site collaboration sessions shall take place in Vietnam Ho Chi Minh City. The Graphic Designer is expected to be physically present at the client's office in District 1, Vietnam Ho Chi Minh City, for a minimum of two (2) days per week during the active project phase.
3. Payment Schedule: Payment shall be made in three (3) installments: 30% upon Purchase Order acceptance, 40% upon delivery of 50% of all deliverables, and 30% upon final acceptance. 4. Intellectual Property: Upon full payment, all rights, titles, and interests in the final deliverables created by the Graphic Designer shall transfer exclusively to the Purchasing Company. 5. Confidentiality: The Graphic Designer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed during the engagement in Vietnam Ho Chi Minh City. This obligation survives the termination of this Purchase Order for a period of three (3) years.
6. Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Graphic Designer shall be compensated for all work completed and accepted up to the termination date.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. Any disputes arising from this Purchase Order related to the Graphic Designer engagement in Vietnam Ho Chi Minh City shall be resolved through the competent court in Vietnam Ho Chi Minh City.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government regulations affecting operations in Vietnam Ho Chi Minh City, or public health emergencies.
