All items listed in this Purchase Order must be delivered to the Buyer's premises located at 2847 Yonge Street, Suite 412, Canada Toronto, Ontario, no later than the Required Delivery Date specified above. Late delivery beyond five (5) business days entitles the Buyer to cancel this Purchase Order without penalty.
3. Payment shall be made within thirty (30) calendar days of the date of invoice receipt, via electronic funds transfer (EFT) to the Vendor's designated bank account in Canada Toronto. The total amount due is Eleven Thousand Two Hundred and Zero Dollars and Seventy-Six Cents (CAD $11,200.76), inclusive of 13% Harmonized Sales Tax applicable in Ontario, Canada Toronto.
4. All products must be new, unused, and in their original manufacturer packaging. The Vendor warrants that all Hairdresser-grade tools and professional hairdressing chemicals comply with Health Canada regulations and are approved for commercial use in licensed salons within Canada Toronto.
5. The Vendor shall provide a Certificate of Compliance for all chemical products (including permanent colour kits and keratin treatment solutions) confirming adherence to Canadian Workplace Safety and Insurance Board (WSIB) standards and Ontario Occupational Health and Safety Act requirements.
6. Any damaged, defective, or incorrect items must be reported to the Buyer within seven (7) business days of delivery. The Vendor shall replace or credit such items at no additional cost to the Buyer within ten (10) business days of notification.
7. This Purchase Order is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada Toronto.
8. The Buyer reserves the right to modify, amend, or cancel this Purchase Order in writing prior to the Vendor's confirmation of order acceptance. No verbal modifications shall be binding.
9. All intellectual property, trademarks, and product specifications remain the property of the respective manufacturers. This Purchase Order does not transfer any such rights.
10. The Vendor acknowledges that the Buyer is a registered Hairdresser and beauty services provider operating under the jurisdiction of the Ontario College of Trades and the City of Canada Toronto business licensing authority.
