Terms and Conditions – Purchase Order for Hairdresser Equipment in China Shanghai
- 1. Scope: This Purchase Order is issued by Shanghai Luxe Hair Studio Co., Ltd. for the procurement of professional hairdresser equipment, tools, and consumable products. All items listed herein are intended for use in a commercial hairdresser salon operating in China Shanghai.
- 2. Quality Standards: All hairdresser equipment must comply with the China Compulsory Certification (CCC) standard and applicable national regulations for electrical and cosmetic products sold in China Shanghai. The seller warrants that all items are new, unused, and free from defects.
- 3. Delivery: The seller shall deliver all goods to the designated warehouse at 888 Nanjing East Road, Huangpu District, China Shanghai, no later than August 10, 2025. Delivery shall be made in accordance with CIF Shanghai Port terms. The seller is responsible for all packaging, crating, and insurance during transit to China Shanghai.
- 4. Inspection & Acceptance: Upon arrival in China Shanghai, the buyer's designated representative shall inspect all hairdresser items within five (5) business days. Any discrepancies, damage, or non-conforming goods must be reported in writing within this period. The seller shall replace or refund defective items within fourteen (14) days of notification.
- 5. Payment: Payment shall be made via irrevocable Letter of Credit issued by ICBC Shanghai Branch. A 30% deposit is due upon confirmation of this Purchase Order. The remaining 70% balance shall be released upon successful inspection and acceptance of all hairdresser equipment at the China Shanghai delivery site.
- 6. Warranty: The seller provides a minimum two-year warranty on all mechanical and electrical hairdresser equipment. Consumable products (shampoo, conditioners, towels) carry a six-month shelf-life guarantee from the date of manufacture.
- 7. Intellectual Property: All branded hairdresser products and equipment shall be delivered with proper licensing documentation for sale and use within China Shanghai. The seller guarantees that no intellectual property rights are infringed upon.
- 8. Force Majeure: Neither party shall be liable for delays caused by natural disasters, government trade restrictions affecting China Shanghai, port closures, or other events beyond reasonable control.
- 9. Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be resolved through arbitration in Shanghai, China Shanghai, under the rules of the Shanghai International Arbitration Center.
- 10. Validity: This Purchase Order is valid for sixty (60) days from the date of issue. If not confirmed by the seller within this period, it shall automatically expire.
