2. Delivery: All goods must be delivered to the Buyer's hairdresser premises located at 142 Allenby Street, Tel Aviv-Yafo, Israel, no later than 29 June 2025. Delivery must be completed between the hours of 08:00 and 16:00 Israel Standard Time (IST). The Supplier is responsible for all transportation costs within the Tel Aviv area.
3. Quality Standards: All hairdresser equipment and supplies must meet Israeli Standards (SII) and comply with the regulations set forth by the Israel Ministry of Health regarding professional hairdressing products. All chemical products must carry proper Hebrew and English labeling as required by Israeli consumer protection law.
4. Inspection: The Buyer reserves the right to inspect all delivered goods within five (5) business days of receipt. 5. Payment: Payment of the full amount of ILS 53,396.90 (fifty-three thousand three hundred ninety-six shekels and ninety-six agorot) shall be made within thirty (30) days of the invoice date via bank transfer to the Supplier's designated account in Israel. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Israeli commercial law.
6. Warranty: All professional hairdresser equipment (items 1, 2, 3, 7, and 10) shall carry a minimum manufacturer warranty of twelve (12) months from the date of delivery. The Supplier shall facilitate any warranty claims with the respective manufacturers on behalf of the Buyer.
7. Compliance: The Supplier warrants that all products comply with applicable Israeli regulations, including the Israeli Consumer Protection Law, the Standards Law, and all relevant Tel Aviv municipal business licensing requirements for hairdresser establishments.
8. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government actions, or civil unrest affecting Tel Aviv or the State of Israel.
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel.
10. Confidentiality: Both parties agree to maintain the confidentiality of all business information exchanged in connection with this Purchase Order, including pricing, product specifications, and operational details of the hairdresser business in Tel Aviv.
