Terms & Conditions of This Purchase Order

1. Acceptance: This Purchase Order (PO-THB-2025-00472) constitutes a binding offer to purchase the hairdresser supplies and equipment listed above. The supplier, Global Beauty Distribution (Thailand) Ltd., must confirm acceptance in writing within five (5) business days of the issue date.
2. Delivery: All items must be delivered to the Siam Silk Hair Studio premises at 88/12 Sukhumvit Road, Soi 24, Khlong Toei, Bangkok, Thailand, no later than 29 June 2025. Delivery is DAP Bangkok per Incoterms 2020. The supplier bears all risk of loss until goods are received and inspected at the Bangkok delivery address.
3. Quality & Compliance: All hairdresser products, tools, and cosmetic items must comply with the Thai Food and Drug Administration (FDA) regulations, the Consumer Protection Act B.E. 2522 (1979), and applicable Bangkok municipal business licensing requirements. The supplier shall provide Thai-language safety data sheets and FDA registration numbers for all cosmetic and chemical products.
4. Payment: Payment of THB 674,106.00 (inclusive of 7% VAT) shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of the invoice date, provided all goods have been received in satisfactory condition. Late payments shall accrue interest at 1.5% per month as permitted under Thai commercial law.
5. Inspection & Rejection: The buyer reserves the right to inspect all delivered hairdresser equipment and consumables within seven (7) business days of receipt. Any items found defective, damaged, or not conforming to the specifications in this Purchase Order shall be rejected, and the supplier must replace or refund the affected line items within ten (10) business days at no additional cost to the buyer.
6. Warranty: All professional hairdresser tools (hairdryers, flat irons, curling irons, scissors) carry a minimum twelve (12) month manufacturer's warranty valid in Thailand Bangkok. Salon furniture (styling chairs, shampoo bowls) carries an eighteen (18) month structural warranty. The supplier shall facilitate all warranty claims on behalf of the buyer.
7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Bangkok, or supply chain disruptions. Affected parties must notify the other in writing within forty-eight (48) hours.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes shall be resolved through the Bangkok Commercial Court or, at the buyer's election, through arbitration under the rules of the Thai Arbitration Institute.
9. Confidentiality: The pricing, quantities, and business terms contained in this Purchase Order are confidential and shall not be disclosed to third parties without prior written consent, except as required by Thai tax or regulatory authorities.
10. Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. Verbal agreements regarding hairdresser supply changes are not binding.
