All goods referenced in this Purchase Order shall be delivered to the Buyer's premises located at Al Maryah Island, Building 12, Unit 304, Abu Dhabi, United Arab Emirates, no later than 28 June 2025. The Supplier shall bear all transportation costs, customs clearance (if applicable for imported goods entering the UAE), and insurance up to the point of delivery at the Buyer's designated location in Abu Dhabi. Delivery shall be made between the hours of 08:00 and 16:00 UAE Standard Time (GST, UTC+4), Monday through Friday, in accordance with the working calendar of the United Arab Emirates. The Supplier must provide a minimum of 48 hours' written notice prior to the scheduled delivery date to allow the hairdresser establishment to prepare the receiving area and coordinate with its in-house staff.

Payment for the total amount of AED 138,219.50 shall be made via bank transfer to the Supplier's designated corporate bank account within thirty (30) calendar days from the date of receipt of a valid tax invoice issued in accordance with the Federal Tax Authority (FTA) regulations of the United Arab Emirates. The invoice must clearly state the VAT registration number of both parties, the Purchase Order number (PO-ADH-2025-00472), and itemized descriptions of all goods supplied. Late payments shall attract a penalty of 1.5% per month as stipulated under UAE commercial law. The Buyer reserves the right to withhold payment for any items found to be defective, damaged in transit, or not conforming to the specifications outlined in this Purchase Order.

All hairdressing equipment and chemical products delivered under this Purchase Order must comply with the standards set by the Abu Dhabi Municipality and the UAE Standards and Metrology Authority (ESMA). Chemical products, including hair colorants, shampoos, and conditioning agents, must carry valid UAE conformity certificates and Arabic labeling as mandated by the UAE Consumer Protection Law. The Supplier warrants that all electrical equipment (hairdryers, flat irons, steam machines) is rated for 220V/50Hz, the standard electrical supply in the United Arab Emirates, and carries the relevant CE or equivalent safety certification. The Buyer's hairdresser team shall conduct a quality inspection upon delivery, and any discrepancies must be reported in writing within five (5) business days.

The Supplier provides a minimum warranty of twenty-four (24) months on all electrical and mechanical equipment (items 01, 02, 03, 04, 08, and 10) and twelve (12) months on all consumable and chemical products (items 05, 06, 07, and 09). Warranty claims shall be processed by the Supplier's authorized service center in Abu Dhabi or Dubai, United Arab Emirates, with a response time not exceeding seventy-two (72) hours. The Supplier shall provide complimentary installation and calibration of all major equipment at the Buyer's Abu Dhabi premises as part of this Purchase Order.

This Purchase Order is governed by and shall be interpreted in accordance with the laws of the United Arab Emirates, specifically the UAE Civil Code (Federal Law No. 5 of 1985) and the UAE Commercial Transactions Law. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Abu Dhabi, United Arab Emirates, or, at the Buyer's election, to arbitration under the rules of the Dubai International Arbitration Centre (DIAC). This Purchase Order becomes effective upon written acceptance by both parties. No modification, amendment, or cancellation of this Purchase Order shall be valid unless executed in writing and signed by authorized representatives of both the Buyer and the Supplier. This document constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements relating to the procurement of hairdresser supplies for the Abu Dhabi establishment.
