- Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes arising from this Purchase Order related to the hairdresser equipment and product procurement shall be subject to the exclusive jurisdiction of the courts located in Harris County, Houston, Texas.
- Delivery: All items listed in this Purchase Order must be delivered to the Houston Elite Hairdresser Studio location at 4820 Westheimer Road, Suite 210, Houston, Texas 77056, United States, no later than July 1, 2025. Delivery must be completed between the hours of 8:00 AM and 4:00 PM Central Time to accommodate the hairdresser salon's operational schedule.
- Payment: Payment of the total Purchase Order amount of $50,587.43 shall be made within thirty (30) calendar days of the date of invoice receipt. Payment shall be processed via ACH transfer to the supplier's designated bank account in the United States. Late payments shall accrue interest at a rate of 1.5% per month as permitted under Texas Business & Commerce Code.
- Quality & Compliance: All hairdresser equipment and professional salon products supplied under this Purchase Order must comply with the regulations set forth by the Texas Department of State Health Services and the City of Houston Health Department. All electrical equipment must carry UL certification and meet National Electrical Code (NEC) standards applicable in the United States.
- Warranty: The supplier warrants that all hairdresser chairs, workstations, and electrical equipment shall carry a minimum of a two (2) year manufacturer's warranty. Professional shears and cutting tools shall carry a one (1) year warranty. Any defective items discovered within the warranty period shall be replaced or repaired at no additional cost to the Houston hairdresser studio.
- Inspection & Acceptance: The purchasing party (Houston Elite Hairdresser Studio) reserves the right to inspect all delivered items within five (5) business days of delivery. Any items found to be damaged, incorrect, or non-conforming to the specifications outlined in this Purchase Order must be reported in writing to the supplier, and the supplier shall replace such items within ten (10) business days.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the Houston, Texas metropolitan area, supply chain disruptions, or government-mandated closures.
- Confidentiality: The terms, pricing, and business details contained in this Purchase Order are confidential and shall not be disclosed to third parties without prior written consent from both the Houston hairdresser studio and the supplier.
- Amendments: Any modifications or amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements regarding the hairdresser equipment procurement are not binding.
