Payment for this Purchase Order shall be made in accordance with the following schedule: forty percent (40%) upon execution of this order and confirmation of the shortlisted Human Resources Manager candidates; thirty-five percent (35%) upon successful completion of the selection process and formal offer acceptance; and twenty-five percent (25%) upon completion of the 90-day onboarding period. All payments shall be made via electronic bank transfer (transferencia bancaria) to the vendor's account in Argentine Pesos (ARS) at Banco de la Nación Argentina, Sucursal Buenos Aires. Invoices must include the vendor's CUIT, the applicable IVA breakdown, and a reference to this Purchase Order number (BA-HRM-2025-0047).

The vendor shall commence the executive search process for the Human Resources Manager role within five (5) business days of the effective date of this Purchase Order. The initial shortlist of qualified candidates shall be delivered within twenty (20) business days. The final placement of the Human Resources Manager is expected to be completed within forty-five (45) calendar days from the date of issue. All services shall be rendered at the vendor's offices in Argentina Buenos Aires or at the buyer's premises at Av. Corrientes 1250, Buenos Aires, as mutually agreed.

1. This Purchase Order constitutes a binding agreement between the parties upon signature and is governed by the civil and commercial laws of the Argentine Republic, with exclusive jurisdiction of the commercial courts of the City of Buenos Aires, Argentina.
2. The vendor warrants that the Human Resources Manager candidate placed shall meet all qualifications, experience, and competency requirements specified in the job description annexed to this order. The candidate must hold a valid Argentine work permit or be a national/resident of Argentina.
3. All personal data processed during the recruitment of the Human Resources Manager shall be handled in strict compliance with Ley 25.326 de Protección de los Datos Personales and the regulations of the Agencia de Acceso a la Información Pública (AAIP) of the Argentine National Administration.
4. The vendor shall maintain professional liability insurance (seguro de responsabilidad civil profesional) with a minimum coverage of ARS 5,000,000.00 for the duration of the engagement.
5. Any modification to this Purchase Order must be made in writing and signed by both parties. Verbal agreements regarding the Human Resources Manager placement shall have no legal effect.
6. In the event of non-compliance, the buyer reserves the right to terminate this Purchase Order with immediate effect and seek damages in accordance with Argentine contract law.
7. The vendor shall not disclose any confidential information regarding the buyer's organizational structure, compensation data, or strategic plans related to the Human Resources Manager role to any third party without prior written authorization.
8. This Purchase Order is valid for thirty (30) calendar days from the date of issue. Failure to execute within this period shall render the order null and void.
