- Acceptance: This Purchase Order constitutes a formal and binding request for services. The Service Provider, TalentBridge Executive Search & Consulting, acknowledges receipt of this Purchase Order and agrees to perform all services described herein for the recruitment and placement of a Human Resources Manager in Brazil, Rio de Janeiro, within the stipulated timeline.
- Payment Schedule: Payment shall be made in three (3) installments: 40% upon execution of this Purchase Order, 35% upon successful placement and commencement of employment by the Human Resources Manager, and 25% upon completion of the 90-day onboarding period. All payments shall be processed in Brazilian Reais (BRL) via bank transfer to the account designated by the Service Provider, subject to applicable Brazilian tax withholdings (IRRF, ISS, PIS, COFINS).
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all candidate information, compensation data, and internal company strategies related to the Human Resources Manager recruitment process. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Compliance: All services rendered under this Purchase Order shall comply with the labor laws of the Federative Republic of Brazil, the specific regulations of the State of Rio de Janeiro, and the municipal ordinances of the City of Rio de Janeiro. The Service Provider warrants that all recruitment practices will adhere to anti-discrimination legislation and data protection requirements under the Brazilian General Data Protection Law (LGPD — Lei Geral de Proteção de Dados).
- Warranty and Replacement: In the event that the placed Human Resources Manager voluntarily resigns or is terminated for cause within the first six (6) months of employment, the Service Provider shall, at no additional cost, initiate a replacement search for a new Human Resources Manager candidate under the same terms and conditions of this Purchase Order.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in the city of Rio de Janeiro, Brazil, in accordance with the rules of the Brazilian Arbitration Association (Câmara de Mediação e Arbitragem do Rio de Janeiro). The governing law shall be that of the Republic of Brazil.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the Rio de Janeiro metropolitan area.
