- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, specifically the Brazilian Civil Code (Lei nº 10.406/2002) and the Consumer Protection provisions where applicable. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of the city of São Paulo, State of São Paulo, Brazil.
- Scope of the Human Resources Manager Role: The Supplier shall recruit and place a qualified Human Resources Manager who will be responsible for overseeing all human capital functions at the Buyer's São Paulo headquarters. The ideal candidate must possess a minimum of eight (8) years of progressive HR experience in Brazil, fluency in Portuguese, and demonstrated knowledge of São Paulo's competitive labor market dynamics.
- Compliance with Brazilian Labor Legislation: All recruitment activities conducted under this Purchase Order must strictly comply with the CLT, the Brazilian General Data Protection Law (LGPD – Lei nº 13.709/2018) regarding candidate data processing, and any applicable collective labor agreements (Convenções Coletivas de Trabalho) in force in the São Paulo region.
- Payment Schedule: Payment shall be made in three (3) installments: 40% upon execution of this Purchase Order, 40% upon successful placement and commencement of the Human Resources Manager in the role, and 20% upon completion of the 90-day integration period. All payments shall be made via TED transfer to the Supplier's bank account in BRL.
- Warranty and Replacement: The Supplier guarantees the placement for a period of ninety (90) calendar days. Should the Human Resources Manager resign or be terminated for cause within this period, the Supplier shall, at no additional cost, initiate a replacement search for a new candidate meeting the same qualifications.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all candidate information, compensation data, and internal organizational details shared during the execution of this Purchase Order. This obligation shall survive the termination of this agreement for a period of two (2) years.
- Anti-Discrimination and Diversity: The Supplier commits to conducting all recruitment activities in full compliance with Brazilian anti-discrimination laws and shall ensure a diverse candidate pool reflecting the demographic composition of the São Paulo metropolitan workforce.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the city of São Paulo.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination prior to placement, the Buyer shall be entitled to a pro-rata refund of any pre-paid amounts for services not yet rendered.
