5.1 Scope of Engagement: The vendor shall deliver a fully qualified Human Resources Manager candidate to the Canada Montreal office no later than August 15, 2025. The Human Resources Manager must hold a minimum of seven (7) years of progressive HR experience, with at least three (3) years in a senior management capacity. Fluency in both English and French is mandatory, in accordance with the Official Languages requirements applicable to the Canada Montreal region.
5.2 Compliance: All services rendered under this Purchase Order shall comply with the Canada Labour Code, the Quebec Charter of Human Rights and Freedoms, the Act respecting the protection of personal information in the private sector (Law 25), and all applicable municipal bylaws in the City of Montreal.
5.3 Payment Schedule: The recruitment fee (Item 001) is due within thirty (30) days of successful placement. The onboarding package (Item 002) is due upon completion of the 90-day integration period. Annual compensation (Item 003) shall be disbursed bi-weekly through the vendor's payroll service. Benefits (Item 004) and incentive (Item 005) payments follow the standard corporate calendar for Canada Montreal operations.
5.4 Confidentiality: All candidate data, compensation details, and internal HR strategies pertaining to the Human Resources Manager role shall be treated as strictly confidential in accordance with the Canada Montreal corporate data protection policy.
5.5 Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination prior to placement, the vendor shall refund 50% of the recruitment fee. Post-placement, standard employment termination procedures under Quebec law shall apply to the Human Resources Manager.
5.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes shall be resolved through arbitration in Canada Montreal under the rules of the Quebec Arbitration Association.
