Important Note: All services described in this Purchase Order shall be performed in compliance with the laws of the Province of Ontario and the federal laws of Canada. The Human Resources Manager engaged under this Purchase Order must hold valid legal authorization to work in Canada Toronto and the Province of Ontario. The vendor is responsible for ensuring all immigration and employment compliance documentation is in order prior to the commencement date. 4. Terms and Conditions

Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Toronto in accordance with the Arbitration Act (Ontario).
Confidentiality: The Human Resources Manager engaged under this Purchase Order shall be bound by a non-disclosure agreement (NDA) covering all proprietary information, employee data, and strategic plans of Meridian Corporate Solutions Inc. This obligation shall survive the termination of the engagement for a period of three (3) years.
Compliance: The Human Resources Manager shall ensure full compliance with the Canada Labour Code, Ontario Employment Standards Act, 2000, Ontario Occupational Health and Safety Act, and all applicable Canada Toronto municipal bylaws pertaining to workplace conduct and employee rights.

Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination prior to successful placement, no fees shall be owed. In the event of termination after placement but before the end of the guarantee period, the vendor shall be liable for a replacement at no additional cost.
Insurance: The vendor shall maintain professional liability insurance with a minimum coverage of $5,000,000 CAD throughout the duration of this Purchase Order. Proof of insurance shall be provided upon request.
