Payment for this Purchase Order shall be structured as follows: thirty percent (30%) upon execution of this Purchase Order, forty percent (40%) upon successful placement and commencement of the Human Resources Manager in the China Guangzhou office, and the remaining thirty percent (30%) upon completion of the 90-day integration period with satisfactory performance evaluation. All payments shall be made via bank transfer to the supplier's designated account in RMB (CNY). Late payments shall incur a penalty of 0.05% per calendar day as stipulated under the Civil Code of the People's Republic of China.
6. Terms and Conditions- This Purchase Order is governed by the laws of the People's Republic of China, specifically the Labor Contract Law and the Civil Code provisions applicable to service procurement in the Guangdong Province jurisdiction.
- The supplier warrants that the Human Resources Manager candidate placed under this Purchase Order shall meet all qualifications, legal work authorization, and competency standards specified in Section 3. Any material misrepresentation shall render this Purchase Order voidable at the sole discretion of the purchasing entity.
- All services rendered in connection with this Purchase Order must be performed within the administrative boundaries of Guangzhou City, China, unless otherwise authorized in writing by the Director of Procurement.

- This Purchase Order shall remain valid for a period of ninety (90) calendar days from the date of issue. Failure to execute the associated service agreement within this period shall automatically nullify this Purchase Order without further notice.
- All deliverables, reports, and documentation produced under this Purchase Order shall be submitted in both English and Simplified Chinese to ensure compliance with local regulatory filing requirements in China Guangzhou.
