5.1 Place of Performance: All services under this Purchase Order shall be rendered in Bogotá, D.C., Colombia, at the primary office located on Avenida El Dorado No. 45A-210, or at such other locations within the Bogotá metropolitan area as may be directed by the Buyer.
5.2 Duration: The engagement of the Human Resources Manager shall commence on July 1, 2025, and shall continue for an initial period of twelve (12) months, subject to renewal by mutual written agreement. The Human Resources Manager shall be available during standard Colombian business hours, Monday through Friday, 8:00 a.m. to 5:30 p.m., with a one-hour lunch break.
5.3 Labor Compliance: The Vendor shall ensure that the Human Resources Manager is engaged in full compliance with Colombian labor legislation, including but not limited to the Código Sustantivo del Trabajo, Ley 1010 de 2006 (anti-discrimination), and all applicable resolutions issued by the Ministerio del Trabajo in Bogotá. All statutory contributions to the Colombian social security system shall be made timely.
5.4 Payment Terms: Payment shall be made in Colombian Pesos (COP) via electronic bank transfer (EFT) to the Vendor's designated account in Bogotá. Invoices shall be submitted on the last business day of each month. Payment is due within fifteen (15) calendar days from the date of invoice receipt. Late payments shall accrue interest at the rate established by the Banco de la República de Colombia.
5.5 Confidentiality: The Human Resources Manager shall handle all employee data, compensation information, and internal corporate communications in strict confidence, in accordance with Colombia's Ley 1581 de 2012 (Data Protection Law) and the regulations issued by the Superintendencia de Industria y Comercio in Bogotá.
5.6 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Human Resources Manager shall complete all pending deliverables and provide a comprehensive transition report to the Buyer's Bogotá management team.
5.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Colombia. Any disputes arising from this Purchase Order shall be resolved in the competent labor and commercial courts of Bogotá, D.C.
This Purchase Order constitutes a binding procurement commitment for the Human Resources Manager services described herein. By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this document for the execution of services in Colombia, Bogotá.
