The Human Resources Manager procured under this Purchase Order shall report directly to the General Director of Andes Corporate Solutions S.A.S. and shall operate exclusively from the company's principal office in Colombia Medellín. The role encompasses full responsibility for managing a workforce of approximately 320 employees across the Medellín headquarters and two satellite offices in the Aburrá Valley. The Human Resources Manager must demonstrate proven expertise in Colombian labor law (Ley 50 de 1990, Código Sustantivo del Trabajo), collective bargaining agreements, and the specific regulatory environment of the Antioquia department.
The vendor, TalentBridge Executive Search Ltda., is responsible for ensuring that the candidate presented meets all minimum qualifications outlined in the attached job specification, including a minimum of eight (8) years of progressive experience in human resources management within the Colombian market, a bachelor's degree in Business Administration, Human Resources, or a related field, and proficiency in Spanish with working knowledge of English. The vendor shall conduct all interviews and assessments within the Medellín metropolitan area unless otherwise agreed in writing.
Payment for the services described in this Purchase Order shall be made in Colombian Pesos (COP) via electronic bank transfer (transferencia electrónica) to the vendor's designated account. The payment schedule is as follows:
- 40% advance payment (COP 17,850,000) due upon written acceptance of this Purchase Order by the vendor, to be paid within five (5) business days of the acceptance date.
- 40% milestone payment (COP 17,850,000) due upon successful placement and commencement of the Human Resources Manager in the role, confirmed by a signed employment contract compliant with Colombian labor law.
- 20% final payment (COP 8,925,000) due upon completion of the 90-day onboarding and integration period, subject to satisfactory performance evaluation.
All amounts are subject to the applicable 19% IVA (Impuesto al Valor Agregado) as mandated by the Colombian National Tax and Customs Directorate (DIAN). The vendor shall issue a valid electronic invoice (factura electrónica) in accordance with Resolution 000042 of 2023 for each payment milestone.
- This Purchase Order is governed by the commercial and labor laws of the Republic of Colombia. Any disputes arising from this agreement shall be resolved through the competent commercial courts of Colombia Medellín, Antioquia.
- The vendor warrants that the Human Resources Manager candidate shall be free of any contractual obligations with third parties and shall not be subject to any non-compete restrictions that would impede performance of duties for Andes Corporate Solutions S.A.S.
- The vendor shall maintain professional liability insurance (seguro de responsabilidad civil profesional) with a minimum coverage of COP 50,000,000 for the duration of the engagement.
- Confidentiality: All information exchanged in connection with this Purchase Order, including candidate data, salary structures, and internal organizational information, shall be treated as strictly confidential in accordance with Law 1581 of 2012 (Colombian Data Protection Law) and the applicable regulations of the Superintendencia de Industria y Comercio.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination prior to placement, the vendor shall refund any advance payments not yet applied to completed services.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Colombia Medellín region.
- The Human Resources Manager, once placed, shall be subject to the internal policies, code of conduct, and employment terms of Andes Corporate Solutions S.A.S. as established under Colombian labor legislation.
This Purchase Order becomes effective upon signature by both parties. The vendor's acceptance constitutes a binding commitment to deliver the recruitment and placement services for the Human Resources Manager position in full compliance with the terms set forth herein and all applicable regulations in Colombia Medellín.
