This Purchase Order is issued by Al-Nile Corporate Services Group S.A.E., headquartered in Egypt Cairo, to formally procure the professional services of a qualified Human Resources Manager for a contract period of twelve (12) months, commencing on 1 August 2025 and concluding on 31 July 2026. The Human Resources Manager shall be engaged on a full-time, on-site basis at the company's principal office located in the Downtown District of Cairo, Egypt, and shall report directly to the Chief Executive Officer.
The scope of services to be delivered under this Purchase Order includes, but is not limited to, the following responsibilities:

5.1 This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, including but not limited to the Egyptian Civil Code, Egyptian Labor Law No. 12 of 2003 (as amended), and the Egyptian Value Added Tax Law No. 67 of 2016.
5.2 The Human Resources Manager shall perform all duties from the designated office premises in Cairo, Egypt, Monday through Friday, between the hours of 09:00 and 17:30 local time, with a one-hour lunch break. Any work performed outside these hours shall be compensated at 1.5 times the standard hourly rate.
5.3 The Human Resources Manager shall maintain full confidentiality of all proprietary company information, employee data, and compensation structures in strict compliance with the Egyptian Personal Data Protection Law No. 151 of 2020.
5.4 Payment shall be made via bank transfer to the account designated by the Human Resources Manager within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Egyptian commercial law.
5.5 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for cause, the terminating party shall provide a detailed written explanation of the breach.
5.6 All disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Cairo, Egypt, or alternatively, may be referred to arbitration under the rules of the Egyptian Arbitration Center (EAC) in Cairo.
5.7 The Human Resources Manager shall be responsible for obtaining and maintaining all necessary professional licenses and registrations with the Egyptian Ministry of Manpower and Immigration throughout the contract period.
6. Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Human Resources Manager in Egypt Cairo.
