- Acceptance: This Purchase Order shall become effective upon written acceptance by the supplier, Talents RH Lyon Consulting SARL, no later than 14 July 2025. Failure to accept within this period shall render this Purchase Order null and void.
- Commencement: The Human Resources Manager shall commence duties on 1 September 2025 at the primary office located at 42 Quai de Serbie, 69009 Lyon, France. A two-week probationary period shall apply, during which either party may terminate this engagement with 48 hours' written notice.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made within 30 days of receipt of a valid invoice, by bank transfer (virement) to the account designated by the supplier. Late payments shall accrue interest at the rate prescribed by Article L.441-10 of the French Code de commerce.
- Confidentiality: The Human Resources Manager shall be bound by a strict confidentiality agreement (accord de confidentialité) covering all employee data, compensation structures, and internal communications. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Compliance with French Law: All services rendered under this Purchase Order shall comply with the French labor code, the GDPR (Règlement Général sur la Protection des Données), and all applicable regulations governing the France Lyon jurisdiction, including those administered by the DREETS Auvergne-Rhône-Alpes.
- Termination: Either party may terminate this Purchase Order with a written notice period of three (3) months, in accordance with the terms of the applicable French collective agreement (Convention Collective Nationale des Bureaux d'Études Techniques).
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any dispute arising herefrom shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Lyon, France Lyon.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting the France Lyon region.
