The Human Resources Manager engaged under this Purchase Order shall perform duties exclusively at the Buyer’s registered office in Germany Berlin, specifically at the address listed above. The role encompasses the following core responsibilities: managing the full employee lifecycle from recruitment through offboarding; ensuring full compliance with the German Works Constitution Act (BetrVG) and all applicable federal and state (Land Berlin) employment regulations; developing and executing annual HR strategies in coordination with senior leadership; administering payroll in accordance with German tax and social security law; and serving as the primary liaison between the workforce and the works council. The Supplier guarantees that the Human Resources Manager shall possess a minimum of eight (8) years of progressive HR experience, a recognized degree in Human Resource Management or a related field, and demonstrated familiarity with the German Berlin labor market and regulatory environment.
- Governing Law: This Purchase Order and all associated services shall be governed by and interpreted in accordance with the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.
- Payment: The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Supplier. All payments shall be made via SEPA bank transfer to the account designated by the Supplier. Late payments shall accrue interest at the statutory rate under Section 288 of the German Civil Code (BGB).
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all personnel data, compensation details, and internal HR strategies of the Human Resources Manager and the Buyer’s workforce, in full compliance with the EU General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG).
- Warranty and Replacement: The Supplier warrants that the Human Resources Manager shall remain in the position for a minimum period of twelve (12) months from the commencement date. Should the Human Resources Manager resign or be terminated without cause within this period, the Supplier shall provide a replacement candidate at no additional cost to the Buyer.
- Termination: Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of termination, all outstanding invoices for services rendered up to the termination date shall be settled in full.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Germany Berlin.
- Works Council Consultation: The Buyer acknowledges that the engagement of the Human Resources Manager may require prior consultation with the existing works council (Betriebsrat) in accordance with Section 99 of the German Works Constitution Act. The Supplier shall cooperate fully to facilitate this process.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Human Resources Manager in Germany Berlin. This document constitutes a binding agreement upon execution by authorized representatives of both parties.
