- This Purchase Order constitutes a binding agreement between Himalayan Enterprise Solutions Pvt. Ltd. (hereinafter "the Buyer") and Shree Talent Management Consultancy (hereinafter "the Vendor") for the procurement of a qualified Human Resources Manager and associated HR services to be delivered at the Buyer's premises in Nepal Kathmandu.
- The Human Resources Manager appointed under this Purchase Order shall possess a minimum of a Bachelor's degree in Human Resource Management, Business Administration, or a related discipline from a recognized university in Nepal or abroad, along with a minimum of eight (8) years of progressive HR experience, of which at least three (3) years shall have been in a senior management role within the Nepal Kathmandu business environment.
- The Vendor shall ensure that the Human Resources Manager is fully registered with the Social Security Fund (SSF) of Nepal, holds a valid citizenship or work permit as applicable, and complies with all labour regulations enforced by the Labour Office, Kathmandu, and the Department of Industry, Government of Nepal.
- Payment shall be made via bank transfer to the Vendor's designated account in a Nepali commercial bank. The Buyer reserves the right to withhold payment for any month in which the Human Resources Manager fails to meet the Key Performance Indicators (KPIs) outlined in the Service Level Agreement (SLA) annexed to this Purchase Order.
- All services rendered under this Purchase Order shall be performed in accordance with the laws of the Kingdom of Nepal, including but not limited to the Companies Act 2063 (2006), the Labour Act 2074 (2017), the Income Tax Act 2058 (2001), and the Value Added Tax Act 2052 (1995). Any disputes arising from this Purchase Order shall be resolved through arbitration in Nepal Kathmandu in accordance with the Arbitration Act 2055 (1999).
- The Vendor warrants that the Human Resources Manager shall not be under any non-compete or confidentiality obligation to any third party that would conflict with the duties assigned under this Purchase Order. The Vendor shall indemnify the Buyer against any claims arising from breach of such warranties.
- This Purchase Order may be terminated by either party with a written notice of sixty (60) days. In the event of termination, the Buyer shall be liable for all services rendered up to the effective date of termination, and the Vendor shall ensure a smooth transition of all HR records, employee data, and ongoing processes to the Buyer's internal team in Nepal Kathmandu.
- All confidential information, employee records, and proprietary data accessed by the Human Resources Manager in the course of performing duties under this Purchase Order shall remain the exclusive property of the Buyer. The Vendor and the Human Resources Manager shall sign a separate Non-Disclosure Agreement (NDA) prior to the commencement of services.
- This Purchase Order is valid for acceptance within seven (7) calendar days from the date of issue. Failure to accept within this period shall render this Purchase Order null and void, and the Buyer reserves the right to reissue a revised Purchase Order for the Human Resources Manager position in Nepal Kathmandu.
- Any amendments, modifications, or addenda to this Purchase Order shall be made in writing and signed by authorized representatives of both parties. Verbal agreements shall not be enforceable under this Purchase Order.
