This Purchase Order is issued by Al-Madina Corporate Services (Pvt.) The Human Resources Manager shall be responsible for the full spectrum of human capital management functions within the organization, ensuring compliance with all applicable labor laws, regulations, and ordinances of the Government of Pakistan and the Islamabad Capital Territory Administration.

2. TERMS AND CONDITIONS
  1. Scope of Engagement: The Human Resources Manager shall perform all duties and responsibilities as outlined in this Purchase Order from the designated office premises located in Blue Area, Islamabad, Pakistan. All work products, reports, and deliverables shall be submitted in both English and Urdu as required by the organization's internal policies and the regulatory framework of Pakistan Islamabad.
  2. Compliance with Local Law: The Human Resources Manager shall ensure that all employment practices, contracts, and policies are in strict compliance with the Pakistan Labour Welfare Fund Act, the Industrial Relations Act, the Minimum Wages Ordinance 1961 (as amended), and all applicable regulations issued by the Islamabad Capital Territory (ICT) Administration. Any non-compliance shall be the sole responsibility of the service provider.
  3. Confidentiality: The Human Resources Manager shall maintain absolute confidentiality regarding employee records, salary structures, and organizational strategies. This obligation shall survive the termination of this Purchase Order for a period of two (2) years. All employee data shall be stored in accordance with the Pakistan Personal Data Protection Bill and applicable data privacy standards in Pakistan Islamabad.
  4. Payment Schedule: Payment shall be made on a monthly basis within fifteen (15) calendar days of receipt of a valid tax invoice. The vendor shall provide a Sales Tax Invoice (STI) as per the requirements of the Federal Board of Revenue (FBR), Islamabad. Withholding tax at the rate prescribed under the Income Tax Ordinance 2001 shall be deducted at source.
  5. Performance Standards: The Human Resources Manager shall submit a monthly activity report by the 5th of each month. Failure to meet the agreed-upon Key Performance Indicators (KPIs) for two consecutive months shall entitle the issuing organization to terminate this Purchase Order with thirty (30) days' written notice.
  6. Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of material breach, termination may be effected immediately upon written notice. All outstanding payments for services rendered up to the date of termination shall be settled within fifteen (15) days.
  7. Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to arbitration in Islamabad, Pakistan, in accordance with the Arbitration Act 1940. The seat of arbitration shall be Islamabad, and the proceedings shall be conducted in English.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, with specific reference to the commercial and labor regulations applicable in Pakistan Islamabad.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns in Pakistan Islamabad, or acts of war, provided that written notice is given within seven (7) days of the occurrence.
IMPORTANT NOTE: This Purchase Order is subject to approval by the Finance Committee of Al-Madina Corporate Services (Pvt.) Ltd. and registration with the relevant authorities in Pakistan Islamabad. The Human Resources Manager must hold a valid CNIC, a recognized degree in Human Resource Management or a related field from a university accredited by the Higher Education Commission (HEC) of Pakistan, and a minimum of five (5) years of progressive experience in HR management within the Pakistan Islamabad corporate environment. 3.
