2. All services described herein shall be executed in strict accordance with the Federal Law of the Russian Federation "On Labor" (No. 197-FZ) and the municipal employment regulations of the City of Saint Petersburg. The Vendor warrants that the selected Human Resources Manager shall meet all statutory requirements for employment in the Russian Federation.
3. Payment shall be made in Russian Rubles (RUB) via bank transfer to the Vendor's designated account within fifteen (15) business days of receipt of a valid invoice. The Buyer reserves the right to withhold payment for any deliverable that does not meet the specifications outlined in this Purchase Order.
4. The Vendor shall maintain full confidentiality regarding the identity of the Human Resources Manager candidate, internal compensation structures, and all proprietary information of Neva Capital Holdings LLC. Breach of confidentiality shall result in immediate termination of this Purchase Order and liability for damages under applicable Russian civil law.
5. Any modifications to the scope, timeline, or pricing of this Purchase Order must be documented in a written amendment signed by authorized representatives of both parties. Verbal agreements shall hold no legal force.
6. The Vendor shall provide a detailed progress report to the Buyer's Corporate Procurement department every thirty (30) days until the Human Resources Manager has been fully onboarded and the first-year compliance period has concluded.
7. Disputes arising from this Purchase Order shall be resolved through negotiation, and if unresolved within thirty (30) days, shall be submitted to the Arbitration Court of the City of Saint Petersburg, Russian Federation, in accordance with the Civil Procedure Code of the Russian Federation.
8. This Purchase Order is valid for a period of thirty (30) calendar days from the date of issue. Failure to accept this Purchase Order within the validity period shall render it null and void without further notice.
