Scope of Engagement: The Human Resources Manager shall perform all duties outlined in this Purchase Order from the designated office located in the Plateau district of Senegal Dakar, with the flexibility to visit satellite offices in Pikine, Guédiawaye, and Rufisque as operationally required.
Payment Terms: Payment shall be made on a monthly basis within thirty (30) calendar days of receipt of a valid invoice. All payments shall be processed via bank transfer to the account designated by West Africa Talent Partners Ltd. in a Senegalese commercial bank.
Performance Standards: The Human Resources Manager shall submit monthly performance reports to the Chief Executive Officer of Teranga Corporate Solutions. Key performance indicators include employee retention rate, time-to-fill for open positions, training hours delivered, and compliance audit scores.
Confidentiality: The Human Resources Manager shall maintain strict confidentiality regarding all employee data, compensation structures, and proprietary business information in accordance with Senegalese data protection regulations.
Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of material breach, termination may be effected with fourteen (14) days notice.
Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent commercial court in Dakar, Senegal.
Compliance: All services rendered under this Purchase Order shall comply with the Labour Code of Senegal, the Social Security Code, and all applicable municipal regulations governing business operations in Dakar.
Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, civil unrest, or government-imposed restrictions within Senegal.

This Purchase Order is issued and authorized by the undersigned representatives of both parties. By signing below, the parties acknowledge that they have read, understood, and agree to all terms, conditions, and service specifications contained herein.
