This Purchase Order is issued by Iberia Corporate Solutions S.L. to formally request and authorize the procurement of a full-time Human Resources Manager professional service, to be delivered and performed within the city of Spain Madrid, specifically at the buyer's headquarters located on Paseo de la Castellana, 120, 28046 Madrid. The Human Resources Manager shall be responsible for the complete management of all personnel-related functions, including but not limited to recruitment, employee onboarding, payroll administration, labour compliance under Spanish legislation, performance evaluation, employee relations, training and development programmes, and strategic workforce planning. The service shall be rendered exclusively within the geographical and legal jurisdiction of Spain Madrid, in strict accordance with the Spanish Workers' Statute (Estatuto de los Trabajadores, Royal Legislative Decree 2/2015) and all applicable regulations of the Autonomous Community of Madrid.

5.1 Commencement and Duration: The Human Resources Manager service shall commence on 1 September 2025 and shall continue for a period of twelve (12) consecutive months, unless terminated earlier in accordance with the provisions set forth herein. All services shall be physically performed at the buyer's premises in Spain Madrid or, where expressly agreed in writing, at alternative locations within the Madrid metropolitan area.
5.2 Payment Terms: Payment shall be made via direct bank transfer (SEPA) to the supplier's designated account within thirty (30) calendar days from the date of receipt of a valid invoice. Invoices shall be issued monthly in arrears. The total value of this Purchase Order is one hundred and thirteen thousand four hundred and thirty-seven euros and fifty cents (€113,437.50), inclusive of 21% VAT applicable in Spain Madrid.
5.3 Legal Compliance: The Human Resources Manager shall ensure full compliance with all applicable Spanish national and regional legislation, including the Estatuto de los Trabajadores, the General Social Security Law (Ley General de la Seguridad Social), the Organic Law on Data Protection (LOPDGDD), and all collective bargaining agreements (Convenio Colectivo) applicable to the sector in Spain Madrid. The supplier warrants that the Human Resources Manager shall hold all necessary professional qualifications and registrations required to perform HR management functions in the Kingdom of Spain.
5.4 Confidentiality and Data Protection: The supplier and the Human Resources Manager shall treat all employee data, corporate information, and proprietary documents as strictly confidential. All data processing shall comply with the General Data Protection Regulation (GDPR) and the Spanish Organic Law 3/2018. Data shall be stored and processed exclusively within the territory of Spain Madrid or the European Economic Area.
5.5 Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of material breach, the aggrieved party may terminate immediately upon written notice. Upon termination, the supplier shall deliver all company records, employee files, and HR documentation to the buyer within fifteen (15) business days at the Madrid office.
5.6 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from or in connection with this document shall be submitted to the exclusive jurisdiction of the courts and tribunals of Spain Madrid, with express waiver of any other jurisdiction that might otherwise apply.
5.7 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Spain Madrid region.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of a Human Resources Manager service in Spain Madrid. This document constitutes a binding commercial agreement between the parties upon execution.
