Governing Law: This Purchase Order shall be governed by and construed in accordance with the Swiss Code of Obligations (OR) and applicable federal and cantonal labour laws of the Canton of Zurich, Switzerland. All disputes arising from this Purchase Order relating to the engagement of the Human Resources Manager shall be subject to the exclusive jurisdiction of the courts of Switzerland Zurich.
• 2. Scope of Engagement: The Human Resources Manager engaged under this Purchase Order shall operate exclusively from the Switzerland Zurich office unless prior written approval is granted by the Chief Executive Officer. The Human Resources Manager shall ensure full compliance with the Swiss Federal Act on Foreign Nationals and Integration (FNI), the Swiss Labour Act (ArG), and all collective labour agreements applicable in the Zurich region.
• 3. Payment Terms: Payment for all services rendered under this Purchase Order shall be made within thirty (30) calendar days of receipt of a valid invoice. Payments shall be processed via bank transfer to the vendor's account held at a Swiss financial institution. All amounts are denominated in Swiss Francs (CHF) and are subject to the applicable Swiss value-added tax (VAT) at the current rate of 8.1%.

In the event of termination, the Human Resources Manager shall complete all outstanding personnel files, ongoing recruitment processes, and compliance reporting obligations for the Switzerland Zurich office within the notice period.
• 6. Insurance and Liability: The vendor shall maintain adequate professional liability insurance and ensure that the Human Resources Manager is fully covered under the Swiss social security system (AHV, IV, EO, and LAA) for the entire duration of the engagement in Switzerland Zurich.
• 7. Non-Solicitation: For a period of twelve (12) months following the conclusion of this Purchase Order, the vendor shall not solicit, recruit, or engage any employee of Alpine Corporate Solutions AG based in Switzerland Zurich who was under the direct supervision of the Human Resources Manager.
