1. This Purchase Order constitutes a binding agreement between the Purchasing Entity and the appointed Human Resources Manager upon countersignature by both parties. All terms are governed by the laws of the United Republic of Tanzania, specifically the Contract Act, Cap. 345, and the Employment and Labour Relations Act, Cap. 309.
2. The Human Resources Manager shall perform all duties from the designated office premises located in Tanzania Dar es Salaam (Mbezi Beach Road, Masaki) during standard business hours (08:00–17:00, Monday to Friday), with reasonable flexibility for urgent operational matters.
3. Payment shall be made via bank transfer to the account designated by the Human Resources Manager within fifteen (15) business days of the first day of each calendar month. Late payments shall attract interest at the rate of 2% per month as stipulated under Tanzanian commercial law.
4. The Human Resources Manager shall maintain full confidentiality of all employee records, salary data, and proprietary company information in accordance with the Data Protection Act, 2022 of Tanzania. A breach of confidentiality shall render the service provider liable for damages and immediate termination of this Purchase Order.
5. Either party may terminate this engagement with thirty (30) days' written notice. In the event of material breach, termination may be effected with seven (7) days' notice. Upon termination, all company property, documents, and data in the possession of the Human Resources Manager shall be returned within five (5) business days.
6. The Human Resources Manager is engaged as an independent professional consultant and not as an employee of East African Corporate Solutions Ltd. The service provider shall be responsible for their own income tax (PAYE) filings, National Social Security Fund (NSSF) contributions, and any other statutory obligations applicable to self-employed professionals in Tanzania Dar es Salaam.
7. All disputes arising from this Purchase Order shall first be subject to mediation. If unresolved within thirty (30) days, the matter shall be referred to the Labour and Employment Court in Dar es Salaam or the Commercial Division of the High Court of Tanzania, as appropriate.
8. This Purchase Order is valid for thirty (30) days from the date of issue. If not countersigned within this period, the Purchasing Entity reserves the right to withdraw or reissue the order without liability.
