1. This Purchase Order is governed by the laws of the United Arab Emirates, specifically the Federal Civil Transactions Law and the UAE Labour Law as applicable in Abu Dhabi.
2. The Human Resources Manager shall commence duties no later than 30 July 2025 at the buyer's principal office located in Al Reem Island, Abu Dhabi, United Arab Emirates.
3. Payment terms: Net 30 days from receipt of a valid tax invoice issued by Gulf Executive Talent Solutions FZ. All payments shall be made in UAE Dirhams (AED) via bank transfer to the supplier's designated account in Abu Dhabi.
4. The supplier shall ensure full compliance with all Abu Dhabi municipal, DHA, MOHRE, and Federal Tax Authority (FTA) requirements throughout the engagement period.
5. Any modification to this Purchase Order must be executed in writing and signed by authorized representatives of both parties. Verbal amendments are not binding.
6. The Human Resources Manager's employment contract, visa, and all statutory registrations shall be the sole responsibility of the supplier. The buyer reserves the right to audit compliance records upon 14 days' written notice.
7. Termination: Either party may terminate this Purchase Order with 60 days' written notice. Upon termination, the supplier shall process all UAE Labour Law entitlements including end-of-service gratuity, unused leave encashment, and repatriation assistance.
8. Confidentiality: All personnel data, compensation structures, and internal HR policies of the buyer shall remain strictly confidential and shall not be disclosed to any third party without prior written consent.
9. Dispute resolution: Any disputes arising from this Purchase Order shall be resolved through the Abu Dhabi Courts of First Instance, or alternatively through arbitration under the Abu Dhabi Global Market (ADGM) Arbitration Centre rules.
10. This Purchase Order does not create a partnership, joint venture, or agency relationship between the parties.

The Human Resources Manager shall be considered "delivered" and accepted upon successful completion of the onboarding period (14 calendar days) at the Abu Dhabi office. Acceptance shall be confirmed in writing by the buyer's Chief Operating Officer. Should the Human Resources Manager fail to meet the competency criteria outlined in the attached job description, the buyer may request a replacement within 30 days at no additional cost under this Purchase Order.
