This Purchase Order is issued to formally procure the professional services of a qualified Human Resources Manager to be engaged on a fixed-term contractual basis. The Human Resources Manager shall be based at the Meridian Corporate Solutions headquarters located in United Kingdom Birmingham and shall report directly to the Chief Operating Officer. The engagement is structured to ensure full compliance with all applicable United Kingdom employment legislation, including the Employment Rights Act 1996, the Equality Act 2010, and the UK GDPR.
The Human Resources Manager shall be responsible for the following core duties and deliverables during the term of this Purchase Order:

- This Purchase Order constitutes a binding agreement between Meridian Corporate Solutions Ltd. and Apex Talent Partners LLP for the provision of a Human Resources Manager service. All terms are governed by the laws of England and Wales.
- The Human Resources Manager shall commence duties no later than 01 September 2025 at the designated office in United Kingdom Birmingham. Failure to commence within five (5) business days of the agreed start date shall entitle the Buyer to terminate this Purchase Order without penalty.
- Payment shall be made in monthly instalments of £28,560.00 (excl. VAT) via BACS transfer to the account details provided by the Seller. Invoices must reference this Purchase Order number (PO-BHM-HRM-2025-0047) to be processed.
- The Human Resources Manager shall maintain full professional indemnity insurance with a minimum cover of £5,000,000 and shall provide a certificate of insurance upon request.
- All personal data processed by the Human Resources Manager in the course of this engagement shall be handled in strict compliance with the UK GDPR and the Data Protection Act 2018. A Data Processing Agreement (DPA) is attached as Schedule A to this Purchase Order.
- The Seller warrants that the Human Resources Manager appointed under this Purchase Order holds a minimum of a CIPD Level 7 (or equivalent) qualification and a minimum of seven (7) years of progressive HR management experience, at least three (3) of which shall have been in a senior HR role within the United Kingdom.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall be liable for services rendered up to the effective date of termination, less any unused prepayments.
- All disputes arising from this Purchase Order shall be resolved by mediation in Birmingham, United Kingdom, prior to any escalation to the courts of England and Wales.
- This Purchase Order supersedes all prior negotiations, representations, and agreements between the parties relating to the engagement of a Human Resources Manager for the period specified herein.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Human Resources Manager in United Kingdom Birmingham.
