- Scope of Engagement: The service provider shall deliver a fully qualified Human Resources Manager who meets or exceeds the qualifications outlined in the attached job specification. The Human Resources Manager shall commence duties no later than August 1, 2025, at the buyer's office in United States Houston.
- Payment Terms: Net 30 days from the date of invoice. Payment shall be made via wire transfer to the account designated by Lone Star Executive Talent Partners, Inc. A 1.5% monthly late fee shall apply to any outstanding balance beyond the due date. This Purchase Order constitutes the buyer's sole obligation for the services described herein.
- Warranty and Replacement: The service provider guarantees the placement of the Human Resources Manager for a period of 180 days from the start date. Should the Human Resources Manager resign, be terminated for cause, or fail to meet performance benchmarks within this period, the provider shall, at no additional cost, supply a replacement candidate of equivalent or superior qualification.
- Confidentiality: All information exchanged under this Purchase Order, including candidate data, compensation structures, and internal company strategies, shall be treated as strictly confidential. Both parties agree to maintain confidentiality for a period of three (3) years following the completion of services.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas and applicable federal laws of the United States. Any disputes arising from this agreement shall be resolved through binding arbitration in United States Houston, Harris County, in accordance with the rules of the American Arbitration Association.
- Compliance: The service provider warrants that all recruitment and placement activities for the Human Resources Manager position shall comply with the Texas Labor Code, the Equal Employment Opportunity Commission (EEOC) regulations, the Fair Credit Reporting Act (FCRA), and all other applicable United States federal and state employment laws.
