  1. Scope of Engagement: This Purchase Order authorizes the procurement of a qualified Human Resources Manager through West Coast Talent Solutions Group to serve Meridian Pacific Holdings, Inc. at its principal office in Los Angeles, California, United States. The Human Resources Manager shall report directly to the Chief Operating Officer and shall have full authority over all human capital functions within the Los Angeles metropolitan area.
  2. Qualifications: The Human Resources Manager engaged under this Purchase Order must hold a minimum of a Master's degree in Human Resources Management, Business Administration, or a related field, possess at least eight (8) years of progressive HR leadership experience, and hold a valid SHRM-SCP or PHRi certification. The candidate must be legally authorized to work in the United States and must be physically present in Los Angeles, California, for a minimum of four (4) days per week.
  3. Compliance: All services rendered under this Purchase Order shall comply with applicable United States federal laws, California state statutes (including but not limited to the California Labor Code, the Fair Employment and Housing Act, and the California Confidentiality of Medical Information Act), and all Los Angeles municipal ordinances governing employment practices, workplace safety, and labor standards.
  4. Payment Schedule: Invoices shall be submitted on the last business day of each calendar month. Payment is due within thirty (30) days of the invoice date via ACH transfer to the vendor's designated United States bank account. Late payments shall accrue interest at a rate of 1.5% per month as permitted under California Commercial Code Section 2304.
  5. Confidentiality: The Human Resources Manager shall execute a mutual nondisclosure agreement prior to commencement. All employee records, compensation data, and proprietary organizational information shall be treated as strictly confidential and shall be stored in accordance with United States data protection standards and California's Consumer Privacy Act (CCPA).
  6. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Human Resources Manager shall complete all pending personnel actions and transfer all records to Meridian Pacific Holdings within fifteen (15) business days.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States of America. Any disputes arising hereunder shall be resolved through binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association.
  8. Insurance: The vendor shall maintain commercial general liability insurance of no less than $2,000,000 per occurrence and professional liability (errors and omissions) insurance of no less than $1,000,000, with Meridian Pacific Holdings, Inc. named as an additional insured. Certificates of insurance shall be provided prior to the commencement date.
  9. Non-Solicitation: For a period of twelve (12) months following the expiration or termination of this Purchase Order, the vendor shall not directly solicit or hire any employee of Meridian Pacific Holdings, Inc. who was under the direct supervision of the Human Resources Manager during the term of this engagement.
  10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the Los Angeles area, pandemics, government mandates, or acts of war within the United States.
