4.1 This Purchase Order constitutes a binding agreement between Meridian Corporate Solutions, Inc. and Empire Talent Partners LLC for the procurement of Human Resources Manager services as described herein. All services shall be rendered in and around United States New York City, and the Human Resources Manager shall maintain a primary place of business within the five boroughs of New York City.

4.2 The Human Resources Manager engaged under this Purchase Order must hold a valid New York State professional credential where applicable and must comply with all federal, state, and municipal employment regulations governing the United States New York City jurisdiction, including but not limited to the New York City Human Rights Law and the federal Title VII of the Civil Rights Act.

4.3 Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the vendor. Invoices must reference this Purchase Order number (MCR-2025-04872) and shall be submitted to the Accounts Payable department at 450 Park Avenue, New York City, NY 10022.

4.4 The vendor warrants that the Human Resources Manager placed under this Purchase Order shall not be subject to any non-compete or restrictive covenant that would impair their ability to perform duties for Meridian Corporate Solutions within the United States New York City market.

4.5 Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements or email communications shall not constitute a valid amendment to this document.

4.6 This Purchase Order is governed by the laws of the State of New York and the federal laws of the United States of America. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in New York City, New York, in accordance with the rules of the American Arbitration Association.
