- Scope of Work: The Seller shall deliver a fully vetted, qualified Human Resources Manager candidate who meets the minimum qualifications outlined in the attached job specification (Appendix A). The candidate must possess a minimum of seven (7) years of progressive HR experience, with at least three (3) years in a managerial capacity within the San Francisco, United States or broader Northern California technology industry.
- Payment Terms: Net 30 days from the date of invoice. Payment shall be made via ACH transfer to the Seller’s designated bank account. A 1.5% monthly late fee shall apply to any undisputed balance exceeding the payment due date.
- Delivery and Commencement: The Human Resources Manager shall commence employment no later than September 1, 2025, at the Buyer’s San Francisco, United States headquarters. All onboarding activities shall be completed within the first ten (10) business days of commencement.
- Compliance: All recruitment and placement activities shall comply with the United States Equal Employment Opportunity (EEO) laws, the California Fair Employment and Housing Act (FEHA), and the San Francisco, United States Fair Chance Ordinance. The Seller warrants that no discriminatory practices shall be employed at any stage of the search process.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the identity of the candidate, and all proprietary information exchanged during the engagement. This obligation shall survive termination of this agreement for a period of three (3) years.
- Warranty and Guarantee: The Seller provides an 180-day guarantee on the placed Human Resources Manager. Should the candidate voluntarily resign or be terminated for documented cause within this period, the Seller shall conduct a replacement search at no additional charge to the Buyer.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States, and the municipal ordinances of the City and County of San Francisco. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco, United States.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, government-mandated closures, or labor disputes affecting the San Francisco, United States workforce.
- Termination: Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of termination prior to candidate placement, the Buyer shall be liable only for documented, non-reimbursable expenses incurred by the Seller up to the date of termination, not to exceed 25% of the total Purchase Order value.
- Insurance: The Seller shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence throughout the duration of this engagement, naming the Buyer as an additional insured party.
