- This Purchase Order is governed by the Civil Code of Vietnam and the Commercial Law of Vietnam. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Vietnam International Arbitration Centre (VIAC) in Vietnam Ho Chi Minh City.
- The vendor shall ensure that the Human Resources Manager candidate possesses a minimum of 8 years of progressive HR experience, with at least 3 years in a senior HR management role within Vietnam Ho Chi Minh City or a comparable Southeast Asian metropolitan market.
- The Human Resources Manager must demonstrate fluency in both Vietnamese and English, with working proficiency in HR information systems such as SAP SuccessFactors, Oracle HCM, or equivalent platforms.
- Payment terms: 30% advance payment upon acceptance of this Purchase Order, 50% upon successful placement and commencement of the Human Resources Manager, and 20% upon completion of the 90-day onboarding and compliance audit period.
- All payments shall be made via bank transfer to the vendor's designated account at Vietcombank, Branch District 1, Vietnam Ho Chi Minh City. The vendor shall issue a proper VAT invoice (hoá đơn giá trị gia tăng) in accordance with Vietnamese tax regulations.
- The vendor is responsible for all recruitment advertising, candidate screening, background verification, and reference checks conducted in Vietnam Ho Chi Minh City and surrounding provinces.
- The Human Resources Manager shall be subject to a standard 3-month probationary period as mandated by the Labor Code of Vietnam. The vendor's replacement guarantee applies only after the probationary period has been successfully completed.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all candidate information, salary data, and internal organizational structures of the buyer. This obligation survives the termination of this Purchase Order for a period of 24 months.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated lockdowns in Vietnam Ho Chi Minh City, or changes in labor legislation.
- This Purchase Order becomes effective upon written acceptance by both parties and remains valid for 90 calendar days from the date of issue. Failure to commence services within this period shall render this Purchase Order null and void unless extended in writing.
