The Industrial Engineer shall be responsible for conducting a full-scale operational audit, implementing lean manufacturing principles, reducing production waste, and delivering a detailed improvement roadmap aligned with the buyer's strategic objectives for fiscal year 2025–2026.

1. This Purchase Order constitutes a binding agreement between the Purchasing Party and the Supplier for the provision of Industrial Engineer services at the designated facility in Bangladesh Dhaka. All terms herein shall be governed by the laws of the People's Republic of Bangladesh.
2. The Industrial Engineer assigned to this project must hold a minimum of a Master's degree in Industrial Engineering or a related discipline, possess at least eight (8) years of hands-on experience in manufacturing operations, and be a registered professional with the Bangladesh Institution of Engineers (BIE).
3. The Supplier shall ensure that the Industrial Engineer is physically present at the buyer's premises in Bangladesh Dhaka (Tejgaon Industrial Area) for a minimum of six (6) working hours per day, Monday through Saturday, during the active implementation phases.
4. Payment shall be made in three (3) installments: 30% upon acceptance of this Purchase Order, 40% upon completion of the operational audit and lean implementation phases, and the remaining 30% upon delivery of the final report and completion of the 6-month follow-up period. All payments shall be made via bank transfer to the Supplier's designated account in Bangladesh Dhaka.
5. The Supplier is responsible for all travel, accommodation, and logistical costs of the Industrial Engineer while working in Bangladesh Dhaka. The Purchasing Party shall provide a dedicated workspace, access to production floors, and necessary data and documentation.
6. All intellectual property, reports, process maps, KPI dashboards, and training materials developed under this Purchase Order shall become the exclusive property of Dhaka Textile & Manufacturing Industries Ltd. upon full payment.
7. The Supplier shall maintain strict confidentiality regarding all proprietary manufacturing processes, production data, and trade secrets of the buyer. A separate Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of work.
8. Any delay in service delivery beyond the stipulated timelines without prior written approval from the Purchasing Party shall attract a penalty of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 10%.
9. This Purchase Order may be amended only by mutual written consent of both parties. Any such amendment shall be documented as a formal addendum to this Purchase Order.
10. Disputes arising from this Purchase Order shall be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration in Bangladesh Dhaka in accordance with the Arbitration Act of Bangladesh.

All deliverables, including the operational audit report, value stream maps, redesigned layout plans, SPC documentation, training completion certificates, and the final comprehensive improvement report, shall be submitted to the Chief Operations Officer of the Purchasing Party at the Bangladesh Dhaka headquarters within five (5) working days of the completion of each respective phase. Acceptance of deliverables shall be confirmed in writing within ten (10) working days of submission. Failure to provide written rejection within this period shall constitute deemed acceptance.
