• Payment shall be made in monthly installments via bank transfer (TED/PIX) to the supplier's designated account, due within fifteen (15) business days following receipt of the corresponding invoice and verification of deliverables.
• For project-based items (Items 02 and 03), payment shall be structured in three milestones: 30% upon project kickoff, 40% upon mid-project review approval, and 30% upon final acceptance and delivery of all documentation.
• All amounts stated in this Purchase Order are denominated in Brazilian Reais (BRL) and are inclusive of applicable taxes as per the tax regime in force in the Federal District of Brazil Brasília.
• Late payments shall accrue interest at the rate of 1% per month, in accordance with Brazilian commercial law (Código Civil, Art. 406).

The Industrial Engineer engaged under this Purchase Order must hold a valid registration with the Conselho Regional de Engenharia e Agronomia do Distrito Federal (CREA-DF) and possess a minimum of ten (10) years of professional experience in manufacturing process engineering, operations research, and supply chain optimization. The supplier must demonstrate prior successful project delivery in industrial facilities within the Brazil Brasília metropolitan area or equivalent industrial corridors in the Federal District. All personnel assigned to this engagement must comply with the buyer's site safety protocols, data confidentiality agreements, and the applicable labor regulations of the Federal Republic of Brazil.

• All engineering reports, process flow diagrams, simulation models, and improvement plans must be delivered in both Portuguese and English, in digital (PDF and editable CAD/SIMULIA) formats.
• The Industrial Engineer shall submit a detailed project initiation plan within ten (10) business days of the contract start date, outlining work packages, resource allocation, and a Gantt-chart schedule for all activities to be performed in Brazil Brasília.
• Final acceptance of each deliverable shall be confirmed in writing by the buyer's Operations Director. A period of fifteen (15) business days shall be allowed for review and potential revision requests.

Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of material breach by the other party that remains uncured after a fifteen-day remediation period. In the event of force majeure events, including but not limited to natural disasters, government-mandated shutdowns, or public health emergencies affecting the Brazil Brasília region, the affected party shall notify the other within five (5) business days, and the contractual timeline shall be extended proportionally. Upon termination, the supplier shall be compensated for all services rendered and approved deliverables up to the effective date of termination.

This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with specific reference to the commercial and civil codes applicable in the Federal District. Any disputes arising from or in connection with this Purchase Order shall be resolved through binding arbitration administered by the Câmara de Comércio Brasil-Canadá, seated in Brasília – DF, conducted in the Portuguese language, in accordance with the arbitration rules in force at the time of filing.
