This Purchase Order is issued by Rio Industrial Solutions S.A. to Engenharia Industrial Consultoria Ltda. for the engagement of a qualified Industrial Engineer to provide comprehensive process optimization, production line analysis, and operational efficiency consulting at the buyer’s manufacturing facility located in the Zona Norte district of Brazil Rio de Janeiro. - This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All services described herein shall be rendered by a certified Industrial Engineer holding a valid registration with CONFEA/CREA-RJ (Conselho Regional de Engenharia e Agronomia — Rio de Janeiro).
- The Industrial Engineer shall comply with all applicable labor, safety, and environmental regulations in force in the state of Rio de Janeiro and the Federal Republic of Brazil, including NR-05, NR-12, and NR-35 occupational safety standards.
- Payment shall be made in three equal installments of R$ 35,280.00 each, due within thirty (30) calendar days of the Buyer’s receipt of the corresponding milestone deliverable. Payment shall be executed via bank transfer (TED/PIX) to the account designated by the Supplier.
- The Supplier warrants that the Industrial Engineer engaged under this Purchase Order possesses a minimum of ten (10) years of professional experience in manufacturing process engineering and holds a bachelor’s degree in Industrial Engineering (Engenharia de Produção) from an institution accredited by the Ministry of Education of Brazil (MEC).
- All intellectual property, reports, data, and documentation generated as a result of the services performed under this Purchase Order shall be the exclusive property of the Buyer. The Supplier shall not disclose any confidential operational information pertaining to the Buyer’s facility in Rio de Janeiro to any third party.
- In the event of force majeure, including but not limited to natural disasters, civil unrest, or government-mandated shutdowns affecting the Rio de Janeiro metropolitan area, either party may suspend performance without penalty, provided written notice is given within forty-eight (48) hours.
- Any dispute arising from this Purchase Order shall be resolved through arbitration in the city of Rio de Janeiro, Brazil, in accordance with the rules of the Câmara de Arbitragem da FIESP, with proceedings conducted in the Portuguese language.
- This Purchase Order is governed by the Civil Code of the Federative Republic of Brazil (Lei 10.406/2002) and applicable state legislation of Rio de Janeiro.
By signing below, both parties acknowledge and agree to all terms, conditions, pricing, and scope of work outlined in this Purchase Order for the Industrial Engineer services to be performed in Brazil Rio de Janeiro.
