Terms and Conditions of this Purchase Order

1. This Purchase Order constitutes a binding agreement between Vetor Industrial Solutions Ltda. and Engenheiros Especializados do Brasil S.A. for the provision of specialized Industrial Engineer services within the Brazil São Paulo metropolitan area and its surrounding industrial zones.
2. The Industrial Engineer assigned to this contract must hold a valid CREA (Conselho Regional de Engenharia e Agronomia) registration and a minimum of eight (8) years of professional experience in manufacturing process engineering, lean operations, or supply chain optimization.
3. All services shall be performed in compliance with Brazilian labor law (CLT), applicable municipal regulations of the City of São Paulo, and all relevant NR (Normas Regulamentadoras) safety standards. The vendor is solely responsible for the employment relationship, social security contributions (INSS), and any applicable labor obligations for the Industrial Engineer and support staff.
4. Payment terms: Net 30 days from the date of invoice receipt. Invoices shall be issued in Brazilian Reais (BRL) and submitted electronically via the vendor portal. Late payments shall accrue interest at the rate of 1% per month plus SELIC, as per Brazilian commercial law.
5. The Industrial Engineer shall report directly to the Project Manager at the São Paulo facility and attend all scheduled coordination meetings. A minimum of 80% on-site presence at the Brazil São Paulo project location is required during active engagement periods.
6. All deliverables, including process maps, optimization reports, SPC documentation, and ergonomic assessments, shall be submitted in Portuguese and English. Intellectual property of all work product created under this Purchase Order shall vest exclusively in Vetor Industrial Solutions Ltda.
7. The vendor shall maintain professional liability insurance with a minimum coverage of R$ 2,000,000.00 for the duration of the contract. A certificate of insurance must be provided prior to the commencement of services.
8. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the vendor shall be compensated for all services rendered up to the termination date, plus a transition period of up to fifteen (15) business days.
9. Disputes arising from this Purchase Order shall be resolved through arbitration in São Paulo, SP, Brazil, in accordance with the rules of the CAM-ARB (Câmara de Arbitragem do Mercado), under the language of Portuguese.
10. This Purchase Order is governed by the laws of the Federative Republic of Brazil. The Industrial Engineer services described herein are specific to the operational context of the Brazil São Paulo industrial region and shall not be transferred or subcontracted without prior written consent from the buyer.
