The Industrial Engineer engaged under this Purchase Order shall possess a minimum of eight (8) years of hands-on experience in manufacturing process improvement, lean manufacturing methodologies, and industrial automation systems. The Industrial Engineer must hold a valid professional certification recognized by the China Association of Engineering (CAE) and demonstrate prior project experience within the electronics and precision components manufacturing sector in China Guangzhou or the broader Pearl River Delta region.

The Industrial Engineer shall commence on-site work at the Buyer's facility in China Guangzhou no later than 1 July 2025. The total project duration under this Purchase Order is estimated at fifteen (15) weeks, with a projected completion date of 26 September 2025. All deliverables, including the final technical report and training materials, must be submitted to the Buyer's Project Management Office in China Guangzhou no later than 30 September 2025. The Industrial Engineer is required to maintain a minimum on-site presence of five (5) days per week during the active engagement period, with all work conducted at the Buyer's premises in China Guangzhou unless otherwise approved in writing.

Payment for this Purchase Order shall be made in three (3) installments via bank transfer to the Supplier's designated account in China Guangzhou:

• First Installment (30%): CNY 183,432.90 – due within ten (10) business days of the Industrial Engineer's confirmed start date on-site.
• Second Installment (40%): CNY 244,577.20 – due upon completion of the Lean Manufacturing workshops and submission of the interim progress report.
• Third Installment (30%): CNY 183,432.90 – due within fifteen (15) business days of final acceptance of all deliverables by the Buyer's Quality Assurance department in China Guangzhou.

1. This Purchase Order is governed by the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in China Guangzhou.
2. The Industrial Engineer engaged under this Purchase Order shall comply with all applicable safety regulations, environmental standards, and workplace protocols in effect at the Buyer's facility in China Guangzhou, including but not limited to the Occupational Safety and Health standards issued by the Ministry of Emergency Management of the PRC.
3. The Supplier warrants that the Industrial Engineer assigned to this Purchase Order shall not be concurrently engaged in any competing project within the China Guangzhou manufacturing corridor during the term of this engagement.
4. All intellectual property, process documentation, and technical data generated by the Industrial Engineer in the course of performing services under this Purchase Order shall become the exclusive property of the Buyer upon full payment.
5. The Supplier shall maintain professional liability insurance with a minimum coverage of CNY 5,000,000 for the duration of this Purchase Order, with the Buyer named as an additional insured party.
6. Any modification to the scope, schedule, or financial terms of this Purchase Order must be documented in a written amendment signed by authorized representatives of both parties.
7. The Industrial Engineer shall submit weekly progress reports to the Buyer's Project Manager every Friday, detailing tasks completed, hours logged, issues encountered, and the plan for the following week at the China Guangzhou site.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Industrial Engineer at the facility in China Guangzhou. This Purchase Order becomes effective upon the last signature and remains valid until the completion of all deliverables or the expiration date stated above, whichever occurs first.

This Purchase Order document (PO-GZ-2025-04782) is issued in duplicate. One copy is retained by the Buyer's procurement department in China Guangzhou, and one copy is provided to the Supplier. Electronic copies transmitted via the Buyer's approved procurement portal carry the same legal validity as the original signed document.
